Competitive Setup and Premises Costs

On the lease requirement: Abu Dhabi has exempted a long list of business activities from having to hold a lease contract before licensing — a real difference from Dubai, where an Ejari-registered tenancy is required in every case. Legal Structures and Business Licences
Before anything else you decide who owns the shares, where the business will be based and what it will actually do. The procedure differs by structure — setting up an LLC is not the same as licensing a small service business.
Limited Liability Company (LLC)
The standard Abu Dhabi mainland vehicle for trading, contracting and technical services. One to fifty shareholders, liability limited to the share capital, and full foreign ownership on most activities.
Sole Establishment
Owned by one individual who carries unlimited personal liability. Quick and inexpensive to license, and common for small professional and service operations.
Civil Company
For professional partnerships where the partners are qualified in the field — engineers, consultants, medical practices and similar. A local service agent may be required depending on the activity, on a fixed annual fee.
Commercial Licence
For buying, selling, importing, exporting and general trading. The most common category, and the one where the activity list on the licence needs the most careful drafting — amending it later costs more than getting it right now.
Professional Licence
For service-oriented work: consultancy, IT, design, accountancy, marketing and similar. Lower issuance cost than a commercial licence and usually the fastest to approve.
Industrial Licence
For manufacturing, processing and assembly. Physical premises are required, along with clearance from the relevant departments and external ministries before the activity can be licensed.
How to Register a Company in Abu Dhabi

Finalise the Activity and Structure
Decide who holds the shares, where the business will be based and what it will do. The activity drives the licence category, whether external approval is needed and whether full foreign ownership applies.

Reserve the Trade Name
The name is checked and reserved with ADDED. Federal naming rules apply — no abbreviations of personal names, nothing religious or political, and nothing implying an activity the licence will not cover.

Initial Approval
ADDED confirms it has no objection to the business being established. Regulated activities are referred to the relevant authority at this stage — health, education, food and financial services all have their own gatekeepers.

Memorandum and Premises
The memorandum of association is drafted and notarised where the structure requires it. Where your activity needs premises, the tenancy is registered through Tawtheeq, Abu Dhabi’s equivalent of Dubai’s Ejari.

Submit and Pay the Licence Fee
The full file goes to ADDED with the fees. The trade licence is issued and the company can legally trade, sign contracts and open a corporate bank account.

Establishment Card, Visas and Bank Account
Immigration and labour establishment cards, then entry permits, medicals, Emirates ID and residence visas for you and your team — followed by the bank account, consistently the slowest step and the one where a well-prepared file makes the difference.

Ownership, Tax and What It Really Costs
A lot of published material on Abu Dhabi is out of date on ownership and predates the corporate tax regime entirely. Here is the current position.
Full Ownership, No Majority Partner
Federal Decree-Law No. 26 of 2020 removed the 51% Emirati shareholding requirement for the great majority of commercial and industrial activities from June 2021. On most Abu Dhabi mainland activities you own the company outright. A local service agent is still required for branches of foreign companies and certain professional structures — a fixed annual fee for administrative support, holding no shares and taking no profit.
Tax Is Federal, Not Emirate-Specific
This is worth being clear about, because a lot of marketing implies otherwise: corporate tax is a federal regime and the rules are identical in every emirate. 9% on taxable profits above AED 375,000, 0% below, with FTA registration mandatory whether or not you profit. VAT is 5%. Abu Dhabi does not offer a lower tax rate than Dubai — its advantages are cost, contracts and infrastructure, not tax.
Licence Term and Renewal
Abu Dhabi has at times offered multi-year licence terms, which reduce how often you renew and can save on repeat government fees. Terms change, so we confirm what is actually available for your activity at the point of quoting rather than repeating a figure from an old page.
