WHY BAHRAIN

Advantages of a Bahrain Company

Bahrain is small, and that is rather the point. It is the least expensive way to hold a properly licensed GCC entity, and it sits sixteen miles from the largest market in the region.

No Corporate Income Tax

Bahrain levies no general corporate income tax on profits, sales, capital gains or estates. Oil and gas is the exception, and very large multinational groups now fall under a separate minimum tax — see the tax section below.

STRUCTURES

Business Structures in Bahrain

Bahrain uses its own terminology rather than the UAE’s. A WLL is the local equivalent of a limited liability company and is what most incoming investors end up with.

With Limited Liability Company (WLL)

The workhorse structure and the local equivalent of an LLC. Liability is limited to the capital contributed, and it covers commercial, professional and industrial activity. Capital is set by activity rather than one universal figure.

Single-Owner Company

A limited liability vehicle with one shareholder, corporate or individual. The right form where there is one owner and no plan to bring partners in. We confirm the exact form at application, as the Ministry’s practice here has shifted.

Bahraini Shareholding Company (BSC)

A share-based company with a board and formal governance, closed or public. Closed BSCs carry substantially higher minimum capital and are used for larger ventures, regulated activity and joint ventures.

Branch of a Foreign Company

An extension of the overseas parent rather than a separate legal entity, so the parent stays liable. Some activities require a local service agent for the branch.

Representative Office

For market research, promotion and liaison only. It cannot trade or invoice in Bahrain. A sensible first presence while you test the market, not an operating vehicle.

Industrial and Logistics Park Entity

Bahrain runs dedicated industrial and logistics zones with duty advantages for goods handled inside them. Suited to manufacturing, warehousing and re-export rather than serving the domestic market.

How to Register a Company in Bahrain

Sijilat makes Bahrain one of the quicker GCC registrations, but the order still matters — and the documents from your parent company are what usually set the timetable.

Activity and Structure

We map your intended activity onto Bahrain’s classification, confirm it is open to full foreign ownership, and pick the entity form. Shareholding, management and capital are settled here, before filing.

Name Reservation

The trade name is checked against Bahraini naming rules and reserved through Sijilat. Reservations are time-limited, so this is done once the activity is settled rather than at the very start.

Documents and Initial Approval

Shareholder passports, memorandum and articles, and any sector approvals your activity triggers. Corporate shareholder documents need legalisation, attestation and Arabic translation — the step that most often causes delay.

Premises and Lease

A valid Bahraini address supports the licence. We match premises to your activity and visa needs and register the lease so it can be filed with the application.

TAX AND EMPLOYMENT

Tax, VAT and What You Actually Owe

Bahrain really is a no-corporate-tax jurisdiction for most businesses. It is not, however, a no-cost one — and two things changed recently that older guides do not mention.

Corporate Income Tax — None, for Most

Bahrain levies no general corporate income tax on income, sales, capital gains or estates. For an ordinary trading or services company this is simply true, and it remains the jurisdiction’s strongest single argument.

The exception is the oil and gas sector, where profits are taxed at 46%. There is also no personal income tax on salaries.

The 15% Minimum Tax for Large Groups

From financial years beginning on or after 1 January 2025, Bahrain applies a Domestic Minimum Top-up Tax bringing the effective rate to 15% for members of multinational groups with global consolidated revenue of at least EUR 750 million in two of the four preceding years.

Bahrain was the first GCC state to adopt the OECD Pillar Two rules. Purely domestic businesses are unaffected, and safe harbours apply — including nil tax where Bahraini revenue is under EUR 10 million.

VAT — 10%

Bahrain introduced VAT at 5% in 2019 and doubled it to 10% on 1 January 2022. Plenty of setup material still quotes the old rate.

Registration is mandatory above BHD 37,500 of annual taxable turnover and voluntary from BHD 18,750. Imports carry the standard GCC customs duty of 5% on CIF value, with much higher rates on alcohol and tobacco.

Social Insurance and Bahrainisation

Social insurance contributions rose on 1 January 2026. Employers now pay 18% for Bahraini employees and 3% for expatriate employees, on monthly salary capped at BHD 4,000.

Alongside that, Bahrainisation targets set a minimum proportion of Bahraini nationals by sector and company size, and LMRA work permit fees apply per expatriate worker. Both feed directly into your real cost per head.

Bahrain or the Bigger GCC Markets

Bahrain is rarely chosen for market size. It is chosen for cost and tax position, and against the two neighbours most clients are also weighing up, the comparison is unusually clear-cut.

Where Bahrain Wins

Tax. No corporate income tax at all for ordinary businesses, against 9% in the UAE above AED 375,000 and 20% on the foreign-owned share in Saudi Arabia.

Cost. Government fees, rent and salaries are the lowest of the three, which is what makes it viable to hold a licensed GCC entity for a small team.

Speed and access. Sijilat is genuinely online, and the causeway puts the Saudi Eastern Province within driving distance without a Saudi entity.

Where It Does Not

Market size. Bahrain has roughly 1.5 million people. If you are selling to consumers, Saudi Arabia and the UAE are simply larger propositions and a Bahraini CR does not let you trade in them.

VAT. At 10%, Bahrain sits above the UAE’s 5% — lower than Saudi’s 15%, but no longer the cheap option it was before 2022.

Government contracts. Selling to Saudi public bodies generally means a Saudi entity, and for larger multinationals a regional headquarters there. A Bahrain company does not substitute for either. See our Saudi page.

Three things older Bahrain guides still get wrong

“VAT is 5%.” It was, until 1 January 2022. Bahrain doubled it to 10%, and a great deal of published material has never been updated.

“Bahrain has free zones.” Not in the UAE sense. There is no separate free zone company regime with its own authority and licence. What Bahrain has is industrial and logistics parks with customs advantages for goods handled inside them — useful for manufacturing and re-export, but you are still registering an ordinary Bahraini company.

“File with the MOICT.” The ministry is the Ministry of Industry and Commerce (MOIC). Tourism was separated out into its own ministry, so the older “MOICT” abbreviation is out of date — including on pages that still use it in the same breath as the correct name.
