ABU DHABI

Abu Dhabi Mainland Company Formation

Abu Dhabi is the capital, the seat of federal government and by far the largest emirate. Its economy has grown quickly on the back of sustained government investment and deliberate diversification beyond oil and gas into finance, tourism, technology and industry. A mainland company here is licensed by the Abu Dhabi Department of Economic Development, can trade anywhere in the UAE, and — critically — can bid for the government and semi-government contracts that make up a large share of the market.

WHY ABU DHABI

Advantages of Setting Up in Abu Dhabi

Abu Dhabi competes with Dubai on a genuinely different basis. If your business depends on institutional or government clients, this is where they are.

The Government Contracting Market

ADNOC, Mubadala, ADQ, Etihad and the federal ministries are all headquartered here, and only a mainland company can tender for their work. For contracting, consultancy, healthcare, education and supply businesses, that is frequently the largest part of the addressable market.

Strategic Location

Abu Dhabi sits at the crossroads of the Middle East, with Khalifa Port and Zayed International Airport giving direct access to regional and international routes. Proximity to major transport corridors makes it a practical base for trade as well as services.

A Diversified, Resilient Economy

Oil and gas underpin it, but finance, tourism, technology and advanced industry have grown substantially. Strong fundamentals and conservative fiscal policy mean the emirate holds up better than most through a downturn.

A Business-Friendly Administration

ADDED runs a streamlined registration process through the TAMM platform, backed by real investment incentives and world-class infrastructure. Approvals move to published timelines, which is not true everywhere.

A Genuine Talent Pool

Abu Dhabi draws a highly multicultural workforce, and the mix of backgrounds is a practical advantage when you are hiring across technical, commercial and client-facing roles rather than a line on a brochure.

Competitive Setup and Premises Costs

Licensing and commercial rent generally sit below the equivalent in Dubai, particularly outside the prime districts. For a business that does not need a Dubai address, the saving is real and recurring.

On the lease requirement: Abu Dhabi has exempted a long list of business activities from having to hold a lease contract before licensing — a real difference from Dubai, where an Ejari-registered tenancy is required in every case. Whether your specific activity qualifies is worth confirming before you sign a lease, and we check it as part of the initial consultation.

STRUCTURES AND LICENCES

Legal Structures and Business Licences

Before anything else you decide who owns the shares, where the business will be based and what it will actually do. The procedure differs by structure — setting up an LLC is not the same as licensing a small service business.

Limited Liability Company (LLC)

The standard Abu Dhabi mainland vehicle for trading, contracting and technical services. One to fifty shareholders, liability limited to the share capital, and full foreign ownership on most activities.

Sole Establishment

Owned by one individual who carries unlimited personal liability. Quick and inexpensive to license, and common for small professional and service operations.

Civil Company

For professional partnerships where the partners are qualified in the field — engineers, consultants, medical practices and similar. A local service agent may be required depending on the activity, on a fixed annual fee.

Commercial Licence

For buying, selling, importing, exporting and general trading. The most common category, and the one where the activity list on the licence needs the most careful drafting — amending it later costs more than getting it right now.

Professional Licence

For service-oriented work: consultancy, IT, design, accountancy, marketing and similar. Lower issuance cost than a commercial licence and usually the fastest to approve.

Industrial Licence

For manufacturing, processing and assembly. Physical premises are required, along with clearance from the relevant departments and external ministries before the activity can be licensed.

THE PROCESS

How to Register a Company in Abu Dhabi

Six steps through ADDED and the TAMM platform. We prepare the filings, obtain the approvals and deal with the authorities on your behalf.

01

Finalise the Activity and Structure

Decide who holds the shares, where the business will be based and what it will do. The activity drives the licence category, whether external approval is needed and whether full foreign ownership applies.

02

Reserve the Trade Name

The name is checked and reserved with ADDED. Federal naming rules apply — no abbreviations of personal names, nothing religious or political, and nothing implying an activity the licence will not cover.

03

Initial Approval

ADDED confirms it has no objection to the business being established. Regulated activities are referred to the relevant authority at this stage — health, education, food and financial services all have their own gatekeepers.

04

Memorandum and Premises

The memorandum of association is drafted and notarised where the structure requires it. Where your activity needs premises, the tenancy is registered through Tawtheeq, Abu Dhabi’s equivalent of Dubai’s Ejari.

05

Submit and Pay the Licence Fee

The full file goes to ADDED with the fees. The trade licence is issued and the company can legally trade, sign contracts and open a corporate bank account.

06

Establishment Card, Visas and Bank Account

Immigration and labour establishment cards, then entry permits, medicals, Emirates ID and residence visas for you and your team — followed by the bank account, consistently the slowest step and the one where a well-prepared file makes the difference.

WHAT WE DO

Our Abu Dhabi Business Setup Services

One engagement covering the whole route from deciding whether Abu Dhabi is right for you through to a trading company with staff and a bank account.

Market Research and Feasibility

Before you commit, an honest read of the Abu Dhabi market for what you actually sell — demand, competition and what the realistic route in looks like. Occasionally that conversation ends with us telling you not to.

Company Formation and Licensing

The full formation and licensing process, in compliance with ADDED requirements and correctly documented — whether that ends up being a mainland company, a free zone entity or an offshore vehicle.

Corporate Structuring and Compliance

Advice on the right legal structure and on staying inside local regulation and governance standards, including how the Abu Dhabi entity should sit alongside anything you already hold elsewhere.

Setup Support Services

Office space selection, Tawtheeq registration, visa processing and bank account opening — the practical work between holding a licence and actually operating.

Strategic Planning and Advisory

Working through the plan with you: where the risks sit, which opportunities are worth pursuing and how to sequence expansion once the entity is running.

Ongoing Compliance

Licence and Tawtheeq renewals, corporate tax and VAT filings, audited accounts where required, and labour law compliance. We hold the calendar so nothing lapses.

OWNERSHIP AND TAX

Ownership, Tax and What It Really Costs

A lot of published material on Abu Dhabi is out of date on ownership and predates the corporate tax regime entirely. Here is the current position.

Full Ownership, No Majority Partner

Federal Decree-Law No. 26 of 2020 removed the 51% Emirati shareholding requirement for the great majority of commercial and industrial activities from June 2021. On most Abu Dhabi mainland activities you own the company outright. A local service agent is still required for branches of foreign companies and certain professional structures — a fixed annual fee for administrative support, holding no shares and taking no profit.

Tax Is Federal, Not Emirate-Specific

This is worth being clear about, because a lot of marketing implies otherwise: corporate tax is a federal regime and the rules are identical in every emirate. 9% on taxable profits above AED 375,000, 0% below, with FTA registration mandatory whether or not you profit. VAT is 5%. Abu Dhabi does not offer a lower tax rate than Dubai — its advantages are cost, contracts and infrastructure, not tax.

Licence Term and Renewal

Abu Dhabi has at times offered multi-year licence terms, which reduce how often you renew and can save on repeat government fees. Terms change, so we confirm what is actually available for your activity at the point of quoting rather than repeating a figure from an old page.

What It Costs

Setup cost depends on the activity, the licence category, the number of visas and whether your activity requires premises — four variables, so any single headline figure is a package price rather than a quote. We price the licence, visas, premises and the recurring annual renewal together, so you can see the real first-year and second-year cost before committing.
