UAE Offshore Company Formation
A UAE offshore company is a non-resident entity registered in one of the country’s offshore jurisdictions. It carries no office requirement, no paid-up capital and no visa eligibility — it exists to trade, hold assets and invest internationally under a UAE-registered name. Shareholders sign their memorandum and articles of association through a registered agent, and the whole process can be completed without setting foot in the UAE.
Three jurisdictions issue offshore licences in the UAE: JAFZA in Dubai, RAK ICC in Ras Al Khaimah and Ajman Offshore in Ajman Free Zone. Each has its own regulations, shareholder rules and typical use cases, so the right choice depends on what your company will actually do. Which UAE offshore jurisdiction is right for you?
All three offer 100% foreign ownership and tax exemption. They differ in shareholder structure, reputation with banks, and the activities they are typically used for.
JAFZA Offshore, Dubai
Established by the Jebel Ali Free Zone Authority in 2003 to attract foreign investors to Dubai. JAFZA is one of the fastest-growing free zones in Dubai and operates its own offshore regulations, inviting individuals and corporate bodies to set up as non-residents.

Ajman Offshore

What a UAE offshore company can and cannot do
Offshore is not the same as a free zone licence. Understanding the boundary early saves a costly restructure later.
What it can do
- Trade internationally under a UAE-registered entity
- Hold a corporate bank account in the UAE, even when no shareholder is a UAE resident

- Conduct business inside the UAE market — offshore entities are for international activity only

All documents are submitted to the relevant free zone authority. The process is straightforward, but any gap in the paperwork has to be cleared before registration proceeds — usually a day or two.
