Advantages of an Ajman Mainland Licence
A mainland company is registered directly with the emirate’s authorities and can operate wherever business takes it. In Ajman, that comes at the lowest cost in the country.
The Lowest Cost Base in the UAE
Licence fees and commercial rent in Ajman are the cheapest of any emirate. For a small trading or service business finding its feet, the difference against a Dubai licence is often the difference between viable and not.
Trade Anywhere in the UAE

Bid for Government Contracts
Only mainland companies can tender for UAE government and semi-government work. For contracting, supply and services businesses that is frequently where the substantial contracts sit.

Ajman has invested in consolidating licensing, postal, visa and immigration services so that most of the process runs through one point of contact. On a small emirate’s scale, that genuinely does move faster.
Next Door to Sharjah and Dubai
Ajman borders Sharjah and is a short drive from Dubai, so you reach the same customers, suppliers and labour pool from a far cheaper base. For businesses serving the northern emirates it is a natural centre of gravity.

Business Entities in Ajman Mainland
Five structures are available on the Ajman mainland. Which applies depends on whether you are starting fresh, extending an existing company or testing the market first.
Limited Liability Company (LLC)
The standard Ajman mainland vehicle for trading, contracting and technical services. One to fifty shareholders, liability limited to the share capital, and full foreign ownership on most activities.
Professional Firm
For skill-based practices where the owner is qualified in the field — consultancy, accountancy, IT, design and similar. A local service agent may be required depending on the activity, on a fixed annual fee.
Branch Office
An extension of an existing UAE or foreign company rather than a new legal entity, carrying out the parent’s activities in Ajman. Ministry of Economy approval is needed where the parent is foreign.
Representative Office
May promote and market the parent company’s business and gather market information, but cannot trade, invoice or earn revenue in the UAE. A low-commitment way to test Ajman before licensing properly.
Public Shareholding Company
For larger ventures raising capital publicly, with Ministry of Economy licensing and substantial documentation. Rarely the right answer for a business setting up in Ajman for the first time.
Sole Establishment
Owned by one individual with unlimited personal liability. The cheapest and fastest route to a licence, and a common starting point for small service operations in the emirate.
Offshore Ajman is not a mainland entity. It is regulated separately by the Ajman Free Zone Authority, holds its address through a registered agent and cannot trade inside the UAE at all. It is often listed alongside mainland structures by mistake, which matters because the three jurisdictions have opposite rules on where you may sell. If an offshore vehicle is what you actually need, that is a different route and we are happy to walk through it.
The Company Registration Process in Ajman
Ajman is one of the quicker emirates to license in. With approvals in hand the licence itself can be issued the same day.

Submit for Initial Approval
The application form goes to the customer service centre at the municipality for initial approval, confirming there is no objection to the business being established.

Location Inspection
The Inspection Unit of Ajman Municipality verifies the business location you have chosen and confirms it is suitable and correctly zoned for the activity.

Specialised Department Approvals
Where the activity requires it, approval is obtained from the relevant specialised departments — health, food safety, education and engineering activities each have their own clearance.

Trade Name and Business Register
The trade name is approved and the business register entry and membership certificate are issued. Federal naming rules apply, so nothing religious, political or implying an unlicensed activity.

Register With the Ministry of Economy
All approvals and receipts are submitted so the company is entered into the Register of Companies. This is the federal registration that sits behind the emirate-level licence.

Pay Fees and Collect the Licence
The completed application and fees go back to the customer service centre. In Ajman the licence can often be issued the same day — after which come the establishment card, visas and the corporate bank account.

Ownership, Duties and What You Actually Owe
Published guidance on Ajman is unusually muddled, largely because free zone benefits get attributed to mainland licences. Here is the position as it stands.
No 51% Local Sponsor
Older guidance states plainly that an Ajman mainland company requires a local sponsor holding 51% of the shares, leaving 49% to the investor. That has not been the position since June 2021 — Federal Decree-Law No. 26 of 2020 removed the requirement for the great majority of commercial and industrial activities. On most Ajman mainland activities you own 100%. A local service agent is still needed for branches and certain professional structures: fixed annual fee, no shares, no profit share.
Import and Export Duties Do Apply
A common claim is that a company in Ajman pays no import or export duty. That describes the free zone, where goods are duty-suspended while they remain inside it. A mainland company importing goods for sale in the UAE pays the 5% GCC customs duty like any other. Budget for it.
Corporate Tax and VAT
Corporate tax is federal and identical in every emirate: 9% on taxable profits above AED 375,000, 0% below, with Federal Tax Authority registration mandatory whether or not you profit. VAT is 5%, compulsory once taxable supplies pass AED 375,000 in twelve months. Ajman is cheaper to run than Dubai, but not cheaper on tax — nowhere in the UAE is.
Ongoing Compliance
Annual licence renewal, tenancy renewal, corporate tax and VAT returns, audited accounts where the activity or turnover requires them, and compliance with UAE labour law including the Wage Protection System and mandatory health insurance. Renewals in Ajman are inexpensive but they are not optional — a lapsed licence takes the visas with it.
