A favourable position at the top of the Gulf, with established trade relations with neighbouring countries and routes running from East to West. Close enough to Dubai to use it, far enough to avoid its costs.

Trade Freely in the Local Market

A mainland licence lets you sell directly to customers in Ras Al Khaimah and across the UAE, and to bid for government work — neither of which a free zone licence permits without a distributor or a mainland branch.

No Cap on Business Activities

There is no limit on how many activities you can hold on a single RAK mainland licence, and no restriction on where in the emirate you rent an office. That flexibility suits businesses that expect to broaden what they do.

LEGAL FORMS

Business Entities in RAK Mainland

Choose the corporate structure before anything else — it determines your licensing route, your liability and what the Ras Al Khaimah Department of Economic Development will ask for.

Limited Liability Company (LLC)

The standard RAK mainland vehicle for trading, contracting and technical services. One to fifty shareholders, liability limited to the share capital, and registration handled through the Ras Al Khaimah Chamber of Commerce.

Sole Establishment

Owned by a single individual who carries unlimited personal liability for the obligations of the business. Simple and cheap to register, and common for small service operations.

Civil Company

For professional partnerships — engineers, consultants, accountants and similar. Partners must be qualified in the field, and depending on the activity a local service agent may be required on a fixed annual fee.

Branch of a Foreign or UAE Company

An extension of an existing parent rather than a new legal entity, carrying out the parent’s activities in Ras Al Khaimah. It needs Ministry of Economy approval where the parent is foreign, plus a local service agent.

Joint Venture

A contractual arrangement between a local party and a foreign party. The venture itself does not need to be licensed and the agreement is not published, which makes it a discreet way to structure a specific project.

Public Joint Stock Company

For larger ventures raising capital publicly. It requires a minimum of ten shareholders and a licence from the Ministry of Economy; founders must subscribe between 20% and 45% of the capital, and no single shareholder may take more than 10%.

A note on free zone entities. Free Zone Company (FZCO), Free Zone Establishment (FZE) and International Company are not mainland structures — they belong to RAKEZ and RAK ICC, which are separate jurisdictions with different rules on where you can trade. They are often listed on mainland pages by mistake. If a free zone or offshore vehicle is what you actually need, that is a different conversation and we are happy to have it.

LICENCES AND DOCUMENTS

Business Licences in Ras Al Khaimah

A valid licence is required for every business activity. Three categories cover almost everything on the RAK mainland.

General Trading Licence

Permits import and export of goods into and out of the UAE. A standard general trading licence covers multiple product categories — foodstuffs, cosmetics and building materials among them — allowing you to trade a broad range without holding separate licences.

Professional Licence

Covers professional services: IT, consulting, software development, design and a long list of others. The activity list is extensive, so it is usually possible to find a precise match for what you do.

Industrial Licence

Permits production of specified goods, import of raw materials and export of the finished product. Physical premises are required, along with clearance from the relevant government departments and ministries.

THE PROCESS

How to Register a Business in Ras Al Khaimah

Setting up in RAK is relatively relaxed, but the legal and documentation steps still have to be done in order. Our advisors handle the whole procedure.

Confirm the Business Activity

Everything follows from this. The activity determines the licence category, whether ministry approval is needed, what premises you must take and whether full foreign ownership applies. There is no cap on how many activities one licence can carry.

Choose the Legal Form and Jurisdiction

LLC, sole establishment, civil company or branch — and mainland rather than RAKEZ or RAK ICC. This is the decision that most often gets made wrongly, and it is expensive to unwind afterwards.

Register the Trade Name

The trade name is checked and reserved with the Ras Al Khaimah Department of Economic Development. Naming rules follow the federal standard — no abbreviations of personal names, nothing religious or political, and nothing implying an unlicensed activity.

Initial Approval

The DED confirms it has no objection to the business. Activities in regulated sectors are referred to the relevant ministry or authority at this stage, and industrial applications may need a technical evaluation.

Secure Office Space and Submit

A tenancy contract is required before the licence can issue, and the certified copy goes into the application. The full file is then submitted to the DED with the notarised partnership contract where there is more than one shareholder.

Licence Issued, Then Visas

The business licence is issued and the company can trade and open a bank account. Establishment cards follow, then entry permits, medicals, Emirates ID and residence visas for you and your staff.

OWNERSHIP AND TAX

Ownership, Sponsorship and What You Owe

A great deal of published guidance on RAK mainland companies is several years out of date. Here is the current position.

You No Longer Need a Majority Emirati Partner

Older guidance — including material still online — states that a RAK mainland company requires a local sponsor holding the majority of the shares. Federal Decree-Law No. 26 of 2020 removed that requirement for the great majority of commercial and industrial activities from June 2021. On most RAK mainland activities you own 100% of the company. A local service agent is still required for branches and certain professional structures, but takes a fixed annual fee and holds no shares.

No Capital Deposit for an LLC

The old requirement to show share capital deposited in a UAE bank before an LLC could be registered no longer applies. Capital is stated in the memorandum of association rather than locked up in an account, and there is no minimum for most activities. An LLC can also now be formed with a single shareholder — the old two-shareholder minimum is gone.

Corporate Tax, VAT and Customs

Corporate tax applies at 9% on taxable profits above AED 375,000 and 0% below it, and registration with the Federal Tax Authority is mandatory whether or not you make a profit. VAT is 5%, compulsory once taxable supplies pass AED 375,000 in twelve months. Imported goods attract the 5% GCC customs duty. There is no personal income tax on what you draw out.

Accounts and Annual Renewal

Older material describes RAK mainland companies as having no mandatory audit. Be careful with that: since corporate tax came in, every company must keep proper accounting records, and audited financial statements are required for a range of activities and turnover levels. Add the annual licence renewal, tenancy renewal and labour compliance, and it is a real calendar — one we keep on your behalf.
