UAE Offshore Company Formation

A UAE offshore company is a non-resident entity registered in one of the country’s offshore jurisdictions. It carries no office requirement, no paid-up capital and no visa eligibility — it exists to trade, hold assets and invest internationally under a UAE-registered name. Shareholders sign their memorandum and articles of association through a registered agent, and the whole process can be completed without setting foot in the UAE.

Three jurisdictions issue offshore licences in the UAE: JAFZA in Dubai, RAK ICC in Ras Al Khaimah and Ajman Offshore in Ajman Free Zone. Each has its own regulations, shareholder rules and typical use cases, so the right choice depends on what your company will actually do. Which UAE offshore jurisdiction is right for you?

All three offer 100% foreign ownership, no paid-up capital and formation without travel. They differ in shareholder structure, reputation with banks, and the activities they are typically used for.

None of them is outside UAE corporate tax. Where a company is incorporated decides whether the tax applies, and a JAFZA Offshore, RAK ICC or Ajman Offshore company is incorporated in the UAE — so the Ministry of Finance treats it as a Resident Person taxed on its worldwide income: 0% on taxable income up to AED 375,000 and 9% above, with corporate tax registration required whether or not any tax is due. The free zone 0% rate is not realistically available to an offshore company, because it requires adequate substance inside a free zone — staff, premises and spending — which an offshore company has none of by design. Where revenue is AED 3 million or below, Small Business Relief can be elected for tax periods ending on or before 31 December 2026.

A company incorporated abroad — in Seychelles, Mauritius or the BVI, say — is a UAE Resident Person only if it is effectively managed and controlled from the UAE, which turns on where its real decisions are taken rather than where it is registered. Take advice on your own structure before relying on any of this.

JAFZA Offshore, Dubai

Established by the Jebel Ali Free Zone Authority in 2003 to attract foreign investors to Dubai. JAFZA is one of the fastest-growing free zones in Dubai and operates its own offshore regulations, inviting individuals and corporate bodies to set up as non-residents.

RAK ICC, Ras Al Khaimah

Registered through RAK ICC, the government-owned corporate registry in Ras Al Khaimah — a registry rather than a free zone. Widely used for real estate and property investment holding, and generally the fastest and most cost-effective of the three to establish.

Ajman Offshore

Regulated by the Ajman Free Zone Authority, which has operated autonomously since 1988. A zero-taxation system with strong privacy protection, and the lowest barrier to entry of the three.

Requirements differ slightly by jurisdiction. JAFZA and RAK share the same document set; Ajman asks for a shorter list.

All documents are submitted to the relevant free zone authority. The process is straightforward, but any gap in the paperwork has to be cleared before registration proceeds — usually a day or two.
