Foreign-Owned Company Setup in Saudi Arabia
Foreign ownership in Saudi Arabia runs through the Ministry of Investment. Whether your activity is open, and on what terms, is the first question.

Eligibility first, structure second
The practical constraint is not whether foreigners may invest — many sectors are open — but whether your specific activity is, what the licence category requires of the parent, and whether any conditions attach.
- Activity eligibility confirmed before you spend
- Licence category matched to your parent
- Attestation chain mapped for your country
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

What is assessed
How foreign ownership is approved
The Ministry of Investment assesses the investor as well as the activity.
| Factor | Why it matters |
|---|---|
| Activity eligibility | Some activities are open to full foreign ownership, others carry conditions or are restricted. |
| Licence category | Service, trading, industrial, entrepreneurial and regional headquarters categories carry different requirements. |
| Parent track record | Some categories look at the parent’s existing operations and financial statements. |
| Capital | Requirements vary by activity and licence category. |
| Local partner | Required for some activities, not for most; it is activity-specific. |
| Commitments | Localisation and operational undertakings may attach to the licence. |
Eligibility, licence categories and conditions are set by the Ministry of Investment and change. Your activity is checked against current requirements before filing.
How it works
Securing the investment licence
We would rather tell you an activity is restricted at the start than after you have paid for attestation.
Eligibility check
Your activity is checked against what is currently open to foreign investment, and we identify the licence category that fits your parent and plans.
Parent file
Registration certificate, Articles, board resolution and, where the category requires it, audited accounts — attested, legalised and translated into Arabic.
Licence and registration
Investment licence issued, then Commercial Registration, Articles notarised and the remaining registrations completed.

What the Ministry will want to see
A thin parent file is the most common reason an application stalls.

- Parent Articles and Memorandum
- Board resolution approving the Saudi investment
- Audited financial statements, where the category requires them
- Shareholder chart to ultimate beneficial owners
- Passport copies for shareholders and directors
- Appointed manager’s passport and CV
- Power of attorney for the local representative
- Business plan, where the category requires one
- Attestation and legalisation in the country of origin
- Certified Arabic translation of every corporate document
- Proposed capital and shareholding structure

Questions
Saudi foreign ownership — FAQs
Can a foreigner own a Saudi company outright?
Many activities are open to full foreign ownership through a Ministry of Investment licence. It is activity-specific, and some sectors carry conditions or restrictions, so we check yours before you commit.
Do I need a Saudi partner?
For most activities open to foreign investment, no. Certain sectors still require local participation. Which applies to you is confirmed at the eligibility stage.
Does my parent company need a track record?
Some licence categories consider the parent’s existing operations and may ask for audited accounts. Others are aimed at newer or smaller investors. The category is chosen to fit your situation.
What is the regional headquarters route?
Saudi Arabia operates a programme for companies locating their regional headquarters in the Kingdom, with its own criteria and implications. We will tell you whether it is relevant to your plans rather than defaulting to it.
How long does the investment licence take?
It depends on the category, the completeness of the parent file and how quickly attestation moves in your country. We give a realistic range once we know both.
