For overseas parent companies
Foreign Company Subsidiary Registration in Saudi Arabia
A Saudi subsidiary is its own company, owned by your parent. It can be licensed for activities the parent does not carry out.
GCC business setup specialists
Separate company, parent-heavy paperwork
The subsidiary itself is a Saudi LLC. What makes it a project is the parent file: registration certificate, Articles, board resolution and often audited accounts, each attested, legalised and translated before the investment licence can be applied for.
- Subsidiary or branch decided on activity and liability
- Parent attestation chain mapped for your country
- Riyadh office, filing locally
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

Subsidiary, branch or office
Three ways an overseas company can be present, with different limits.
| Subsidiary | Branch | Technical office | |
|---|---|---|---|
| Separate company? | Yes | No — the parent operating here | No |
| Activities | Can differ from the parent | Limited to the parent’s | Support and liaison only |
| Can it trade? | Yes | Yes, within its scope | No commercial activity |
| Liability | Generally confined to it | Sits with the parent | Sits with the parent |
| Parent documents | Registration, Articles, resolution | Usually heavier | Moderate |
| Typical fit | A new or broader line of business | Delivering the parent’s existing work | Supporting distributors or group companies |
Which structures are available, and what each requires, is set by the Saudi authorities and changes. Your options are confirmed before filing.
How it works
Registering the subsidiary
The parent document chain sets the timeline, so it starts first.
Structure and eligibility
Subsidiary against branch for your activity and liability position, and whether that activity is open to foreign investment. Quoted with government fees separated.
Parent file and licence
Parent documents attested, legalised and translated, then the investment licence applied for on the back of them.
Incorporation and registrations
Commercial Registration, Articles notarised, Chamber membership, National Address, bank introduction, ZATCA and GOSI.

Questions
Saudi subsidiary registration — FAQs
Subsidiary or branch?
If the Saudi entity will do something the parent is not licensed for, or you want liability ring-fenced, a subsidiary usually fits. If you are delivering the parent’s existing work, a branch may. We settle it against your activity.
Does the parent need audited accounts?
Some investment licence categories require them. Which applies depends on the category, and we tell you before you start collecting documents.
Can the parent own 100%?
For many activities, yes, through the investment licence. It is activity-specific and some sectors carry conditions.
How long does attestation take?
It depends entirely on your country and is the usual cause of delay. We map the chain at quote stage so it can start immediately.
Can the subsidiary sponsor employees?
Yes, once registered with the labour and social insurance authorities, subject to localisation requirements.
