Holding Company & Investment Structures in Saudi Arabia
Saudi offers more than one way to hold interests: a holding company, a regional headquarters, or an operating company that also holds.

Three different things, often conflated
Investors ask for “a holding company” and mean consolidating Saudi shareholdings, establishing a regional management base, or parking group assets. Each points at a different structure with different obligations.
- Structure matched to what you actually hold
- Regional headquarters route assessed honestly
- Obligations set out before you commit
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

The options
Ways to hold and manage from Saudi Arabia
They differ on what they do and what is expected of them.
| Structure | What it is for | What it expects |
|---|---|---|
| Holding company | Owning shares in other companies | Registration and reporting as a Saudi company |
| Regional headquarters | Regional management and strategic functions | Its own criteria, commitments and substance |
| Operating company with holdings | Trading, and holding investments alongside | A normal trading licence and its obligations |
| Branch of a foreign holding | Parent presence without a new company | Parent liability and heavier documentation |
| Joint stock company | Larger ventures and future capital raising | Board governance and heavier compliance |
| Technical office | Support and liaison only | No commercial activity permitted |
Available structures, the regional headquarters criteria and their obligations are set by the Saudi authorities and change. Yours is confirmed in writing before filing.
How it works
Choosing and forming it
What you are holding, and why, decides the structure.
What and why
Shares in Saudi companies, regional management functions, or group assets — and whether anything will be invoiced. That rules most options in or out.
Structure and obligations
We set out what each option permits, what substance and reporting it expects, and what it costs to maintain, then quote with government fees separated.
Form and transfer
Investment licence where required, company registered, registers established and interests transferred in with the filings each requires.

Questions
Saudi holding structures — FAQs
Can a Saudi holding company trade?
A holding structure is for owning rather than operating. If you need to invoice, that is a trading licence, either instead of or alongside the holding entity.
What is the regional headquarters programme?
A route for companies locating regional management functions in the Kingdom, with its own criteria and commitments. We assess whether it genuinely fits rather than defaulting to it.
Does a holding company pay zakat or tax?
It depends on ownership, as with any Saudi company, and on the nature of its income. We confirm the position rather than assume it.
Can I hold existing Saudi companies under a new entity?
Usually yes, by share transfer, with notarised amendments and filings for each. We map the sequence before anything moves.
Is substance expected?
For a regional headquarters, yes, explicitly. For other structures it depends on the activity and what you are claiming. We set out what yours will involve.
