Cross-border structures
International Business & Asset Holding in Saudi Arabia
A Saudi entity can anchor a regional structure. Whether it should depends on where your people, decisions and customers actually are.
GCC business setup specialists
Substance is explicit here, not implied
Saudi Arabia has been deliberate about rewarding genuine regional presence and about withholding tax on payments leaving the Kingdom. Both make structures that exist only on paper harder to sustain than they once were.
- Substance expectations set out before you incorporate
- Withholding tax considered on your payment patterns
- Home-country advisers co-ordinated, not ignored
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

The questions that decide the structure
Answered honestly, the shortlist is usually short.
| Question | Why it decides the structure |
|---|---|
| Where are the owners resident? | Their home rules often matter more than Saudi rules. |
| Where are decisions taken? | Drives substance and whether a regional headquarters route is credible. |
| Where are the customers? | Selling into a country can create obligations there regardless of incorporation. |
| What payments leave the Kingdom? | Withholding tax can arise on payments to non-residents. |
| What is held or traded? | Shares, IP and goods carry different treatment and filings. |
| Who else must accept it? | Banks and counterparties test structures; opaque ones fail onboarding. |
Cross-border treatment depends on rules in more than one country and changes. We co-ordinate with advisers elsewhere rather than opining on their law.
How it works
Working through it properly
Sometimes the answer is to wait before incorporating anything.
Map the facts
Residency, decision-making, where work happens, customers, and what the entity will hold or sell — written down rather than assumed.
Options and consequences
Saudi options that fit, the substance each expects, what each costs to maintain, and where you need advice in another country first.
Form and document
The Saudi entity formed once the structure is agreed, records established, and the basis documented so it can be explained to a bank or authority later.
To assess properly
What we need to see
Thin information produces a structure that fails its first bank onboarding.
- Tax residency of each ultimate owner
- Current group structure chart
- Where directors and decision-makers are based
- Where staff and contractors actually work
- Revenue split by customer country
- Payments expected to non-residents
- Assets the structure will hold
- Existing entities and their jurisdictions
- Financing, security or investor agreements
- Advice already received at home
- Banking relationships you intend to keep
- Your timeline and what is driving it

Questions
Saudi international structuring — FAQs
Will a Saudi entity reduce my tax at home?
That depends on your home country’s rules, which we do not advise on. We will tell you plainly when the answer needs an adviser where you live, before you spend anything here.
What is withholding tax and will it affect me?
Certain payments from Saudi Arabia to non-residents require tax to be withheld. If your structure involves management fees, royalties or similar flows, it is central rather than incidental.
Does the regional headquarters route help?
It can, where you genuinely locate regional functions here. It carries commitments, so it suits companies actually moving people and decisions rather than those seeking a label.
Will banks accept a cross-border structure?
They will test it. Simple, explainable structures supported by real activity get through; opaque ones frequently do not.
Do you form entities outside Saudi Arabia?
No. We handle the Saudi elements and co-ordinate with your advisers elsewhere rather than taking on work we cannot stand behind.
