Own, do not trade
Holding Company & Investment Structures in Oman
A holding company owns interests rather than trading. That restriction shapes which structure and jurisdiction suit.

Built to own, not to operate
Investors asking for a holding company usually mean one of three things: consolidating Omani shareholdings, separating property from a trading business, or establishing a regional base. Each points at a different structure.
- Structure matched to what you actually hold
- Trading restrictions explained before you commit
- Free zone and mainland options compared
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

The options
Ways to hold from Oman
They differ on what they may do and what is expected.
| Structure | What it is for | Trading |
|---|---|---|
| Holding company | Owning shares in other companies | Holding activities only |
| Operating company with holdings | Trading, and holding investments alongside | Yes |
| Free zone company | Regional structures, export and logistics | Restrictions on local sale |
| Joint Stock Company | Larger ventures and capital raising | Yes, with heavier governance |
| Branch of a foreign holding | Parent presence without a new company | Within the parent’s scope |
| Representative office | Liaison only | No |
Available structures and their obligations are set by the Omani authorities and change. Yours is confirmed before filing.
How it works
Choosing and forming it
What you hold, and why, decides the structure.
What and why
Shares, property or group assets, and whether anything will be invoiced. That rules most options in or out.
Structure and obligations
We set out what each permits, what it expects and what it costs to maintain, then quote with government fees separated.
Form and transfer
Company registered, registers established and interests transferred with the filings each requires.
- A list of what the structure will hold
- Ownership chart of existing companies
- Parent documents, for a corporate shareholder
- Board resolution approving the Omani entity
- Passport copies for ultimate owners
- Whether operating income is expected
- Title documents for any property
- Existing shareholder agreements
- Financing or security over assets
- Proposed capital and shareholding
- Attested and translated documents
- Where group decisions are taken

Questions
Oman holding structures — FAQs
Can an Omani holding company trade?
A holding structure is for owning rather than operating. If you need to invoice, that is a trading licence, either instead of or alongside.
Can it own property?
Property ownership rules differ by location and entity type. It is one of the questions that most often changes the recommended structure.
Does it pay tax?
Omani companies have tax registration and filing obligations, and treatment depends on income. We confirm the position rather than assume.
Can I hold existing Omani companies under a new entity?
Usually yes, by share transfer, with filings for each. We map the sequence before anything moves.
Is a free zone structure better?
It depends on whether you need to sell locally. Zones suit export and regional structures but restrict local trade.
