A purpose-built legal form
Holding Company & Investment Structures in Bahrain
Bahrain has a dedicated holding company form in its companies legislation, rather than repurposing a trading company.

A form designed for the job
Rather than using an ordinary trading company as a group holding layer, Bahrain provides a holding company as a distinct legal form whose stated purpose is holding shares and interests in other companies. That makes the structure cleaner to explain to banks and counterparties, and it keeps the holding layer separate from operating activity — but it also limits what the entity may itself do.
- The right form chosen for the holding function
- Scope limits explained before you rely on the entity
- Operating and holding layers kept properly separate

Ways to hold from Bahrain
Purpose decides the form.
| Structure | What it is for | Notes |
|---|---|---|
| Holding company form | Holding shares in other companies | A distinct legal form; limited own activity |
| WLL with holding activity | Holding alongside trading | One entity, mixed purposes |
| Operating company | Trading, with subsidiaries beneath | Where holding is incidental |
| Joint venture company | Partnering with another group | Shareholder agreement driven |
| Foreign holding company | Holding the Bahraini entity from abroad | Decided by group tax position |
| Regulated holding entity | Holding financial sector interests | Regulator approval required |
The holding company form, its permitted scope and ownership rules are set by the companies legislation and change. Your structure is checked against current rules. Bahrain has no general corporate income tax, but a domestic minimum top-up tax now applies to very large multinational groups meeting an international revenue threshold. Whether your group is in scope is a question of fact, and the rules are new and evolving — we confirm the current position rather than relying on the older “no corporate tax” shorthand.

Questions
Bahrain holding structures — FAQs
Why use the dedicated holding form?
Because its stated purpose is holding interests in other companies, which keeps the holding layer clean and is easier to explain to banks and counterparties than a trading company doing both.
What can a holding company not do?
Its own activity is limited by the form. If you need the entity to trade as well, a company with holding activity among its registered activities may suit better.
Can it be wholly foreign owned?
Full foreign ownership is generally available, which is one reason Bahrain is used for group holding layers in the region.
Does holding regulated subsidiaries change anything?
Yes. Holding interests in financial sector companies brings regulator approval requirements for the holding entity itself.
Does the new top-up tax affect holding companies?
Only where the group meets the international revenue threshold. Group-owned holding entities should be scoped rather than assumed out.
