The old pitch has changed
International Business & Asset Holding in Bahrain
Bahrain has long been used for cross-border structures on the basis of no corporate tax. That statement now needs qualifying.

Zero tax is no longer the whole story
For most businesses Bahrain still has no general corporate income tax. But a minimum top-up tax now applies to very large multinational groups, and international substance and anti-abuse expectations apply to any structure claiming treaty benefits. A plan built on the old unqualified pitch will not hold up, and we would rather say so before you build it.
- Current tax position stated accurately, not from the old pitch
- Top-up tax scope checked for group-owned entities
- Substance and destination-country advice co-ordinated

Settle these first
The questions that decide the structure
Answered honestly, the options narrow.
| Question | Why it decides the structure |
|---|---|
| Is the group very large? | The minimum top-up tax may apply. |
| Will treaty benefits be claimed? | Then residence and substance must be real. |
| Where is the entity managed from? | Management and control is tested. |
| What is the commercial purpose? | It has to stand up to questioning. |
| Who else must accept it? | Banks and counterparties test structures too. |
| What advice exists at the other end? | The destination country decides much of this. |
Bahrain has no general corporate income tax, but a domestic minimum top-up tax now applies to very large multinational groups meeting an international revenue threshold. Whether your group is in scope is a question of fact, and the rules are new and evolving — we confirm the current position rather than relying on the older “no corporate tax” shorthand. Cross-border treatment also depends on rules in other countries. We co-ordinate with advisers elsewhere rather than opining on their law.
How it works
Working through it properly
Sometimes the honest answer is a different plan.
Map the facts
Group size, ownership, where decisions are taken, income flows and who will need to accept the structure.
Test the tax position
Whether the entity is genuinely outside the charge, whether the group is in scope for the top-up tax, and what substance a treaty claim would need.
Establish and document
Entity registered once agreed, substance arrangements implemented and the commercial basis documented from the outset.
- Commercial purpose of the structure
- Group consolidated revenue, for top-up tax scoping
- Current group structure chart
- Shareholder nationalities and tax residences
- Countries where activity or investment sits
- Whether treaty benefits are intended
- Who will direct the entity and from where
- Expected income types and flows
- Planned local expenditure and employment
- Banking relationships required
- Existing advice in other countries
- Timeline and what is driving it

Questions
Bahrain international structuring — FAQs
Does Bahrain still have no corporate tax?
For most businesses, yes, there is no general corporate income tax. A minimum top-up tax now applies to very large multinational groups, so a group-owned entity should be checked rather than assumed exempt.
Can a Bahraini entity claim treaty benefits?
Where a treaty applies and the entity has genuine residence and substance. A structure without real management here is unlikely to succeed.
What substance will I need?
It depends on what the structure claims. Where treaty access matters, real decision-making, premises and activity in Bahrain are expected, and we set out what that costs.
Do I need advice in the other country?
Almost always. Bahraini advice alone does not settle how a position is treated where the income arises or where the owners are resident.
Will a bank accept the structure?
Simple structures with a clear commercial purpose and documented funds fare best. Layered ownership slows or stops onboarding.
