For overseas founders
Foreign-Owned Company Setup in the United Kingdom
The UK places no restriction on foreign ownership. The real constraint for overseas founders is opening a bank account.
GCC business setup specialists
Company law is open; banking is not
There is no foreign ownership restriction, no local partner requirement and no investment approval in the UK. Anyone can own and direct a UK company. What stops non-residents is that UK banks are cautious about customers with no UK footprint.
- No ownership restriction to navigate
- Banking difficulty addressed honestly up front
- PSC and identity requirements handled properly
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

What applies
Foreign ownership of a UK company
Short list, because most of what applies elsewhere does not apply here.
| Question | Position |
|---|---|
| Can a foreigner own 100%? | Yes. There is no foreign ownership restriction. |
| Local partner required? | No. |
| Investment approval needed? | No, for ordinary commercial activity. National security screening applies to a narrow set of sensitive sectors. |
| Must a director be UK resident? | No, though it affects banking in practice. |
| Is ownership public? | Yes. Directors and persons with significant control appear on the public register. |
| Registered office | Must be a UK address capable of receiving official post. |
UK requirements change, and identity verification and registered-office rules have been tightened. National security screening applies to certain sensitive sectors. Your position is confirmed before filing.
How it works
Setting up from overseas
Most of this runs remotely. We are candid about the part that does not.
Structure and people
Shareholding, directors and persons with significant control settled, with identity evidence prepared for the verification requirements.
Incorporate
Company incorporated at Companies House with a compliant registered office and a correct PSC register.
Registrations and banking
Corporation Tax, VAT and PAYE where they apply, then a realistic conversation about banking options for a non-resident company.
What we need
Documents for an overseas owner
Lighter than a GCC file; identity evidence is the substantive part.
- Passport copies for directors and PSCs
- Proof of residential address for each
- Identity evidence meeting verification requirements
- Proposed company name
- UK registered office arrangements
- Service address for each director
- Shareholding split and share classes
- Persons with Significant Control details
- Intended trading activity
- Details of any overseas parent company
- Where the business will actually operate from
- Expected UK customers and suppliers

Questions
UK foreign ownership — FAQs
Is there any restriction on foreign ownership?
No, for ordinary commercial activity. A narrow set of sensitive sectors is subject to national security screening, which we would flag if it applied to you.
Do I need a UK resident director?
Not legally. In practice a UK-resident director materially improves your chances of opening a bank account, which is worth weighing.
Will I be able to open a UK bank account?
It is the hardest part of a non-resident UK setup, and we will not pretend otherwise. We set out the realistic options rather than promising an account.
Will my name be public?
Yes. Directors and persons with significant control appear on the public register. A service address can be used instead of a residential one.
Does owning a UK company give me a visa?
No. Company ownership and immigration are separate, and incorporating does not confer any right to live or work in the UK.
