Holding Company & Investment Structures in Hong Kong

Hong Kong has long been a regional holding location. Its territorial tax basis is the attraction and the thing most often misunderstood.

GCC business setup specialists

Why groups hold through Hong Kong

Proximity to mainland China, an extensive treaty network, no capital gains tax and a territorial profits tax basis. The trade-off is an annual audit for every entity and increasing scrutiny of structures without substance.

  • Structure matched to what you actually hold
  • Territorial basis explained rather than oversold
  • Audit and substance obligations set out up front

Questions

Hong Kong holding structures — FAQs

Why hold through Hong Kong?

Proximity to mainland China, a treaty network, no capital gains tax and a territorial profits tax basis. It remains a serious holding jurisdiction rather than a nameplate one.

Does a holding company still need an audit?

Yes. Every Hong Kong company is audited annually, including a pure holding entity with minimal activity.

Is Hong Kong still useful for China exposure?

It remains the most used route, with its own treaty position. Whether it suits your group is a tax question for advisers in both jurisdictions.

Does substance matter?

Increasingly, yes, particularly where treaty benefits or an offshore source claim are relied on. We set out what yours would involve.

Can the holding company trade as well?

It can, but mixing trading and holding removes the separation that was usually the point.
