E-commerce Company Setup in Hong Kong
Hong Kong has no e-commerce licence and no VAT on sales. The constraint is payment processing, not regulation.

Regulation is light, payments are not
There is no e-commerce licence to obtain and no sales tax to account for. What determines whether a Hong Kong online business works is whether you can get a bank account and a payment provider, and that is a commercial assessment rather than a regulatory one.
- No invented licence requirements
- Payment and banking reality addressed first
- Structure matched to where stock sits
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

Match the model
Which setup fits how you sell
The structure depends on stock, customers and payments.
| How you sell | Typical fit | What to watch |
|---|---|---|
| Own store, no stock held | Standard private limited company | Payment provider onboarding |
| Own store, stock in Hong Kong | Company plus warehousing arrangements | Controlled or dutiable goods |
| Marketplace selling | Company meeting the platform’s seller rules | Each platform sets its own requirements |
| Dropshipping | Standard company | Supplier jurisdiction affects banking |
| Digital products | Standard company | Customers’ own countries may impose tax obligations |
| Cross-border into mainland China | Needs specific advice | A separate regulatory environment |
Hong Kong imposes no e-commerce licence and no sales tax. Platform and payment provider requirements are set by those companies and change. Company secretarial and registered office services in Hong Kong must be provided by a licensed trust or company service provider. We co-ordinate your engagement with a licensed Hong Kong provider and manage the process end to end; the regulated filings are made by them.
How it works
From selling to operating
We start from payments, because that is the real constraint.
Model and payments
Where you sell, where stock sits, and which payment providers and platforms you intend to use. Assessed before incorporation.
Incorporate
Company incorporated and Business Registration obtained, with a business description written for payment onboarding.
Banking and payments
Bank file prepared, payment provider applications supported, and alternatives set out where traditional banking is unlikely.

- Website with terms, privacy and returns policies
- Product list and categories
- Whether any goods are controlled
- Supplier agreements and locations

Questions
Hong Kong e-commerce — FAQs
Do I need an e-commerce licence in Hong Kong?
No. There is no e-commerce licence. Business Registration covers you unless your goods or services fall into a regulated category.
Do I charge sales tax?
There is no Hong Kong VAT, GST or sales tax. Your customers’ own countries may impose obligations on you, which is a question for advisers there.
Will I get a payment provider?
That is the real constraint. Providers assess independently, and a non-resident company with no local footprint is scrutinised. We assess your prospects honestly first.
Can I sell into mainland China?
It is a separate regulatory environment with its own requirements. Hong Kong proximity helps logistically but does not remove them.
Is Hong Kong good for e-commerce?
For low-regulation, tax-efficient trading, yes. If you cannot secure payment processing, none of that helps, which is why we start there.
