Foreign-Owned Company Setup in Singapore
Singapore allows full foreign ownership. It does not allow a company without a resident director, and that is the real question.

Ownership is open, directorship is not
There is no restriction on foreign shareholding and no local partner requirement. The constraint sits elsewhere: at least one director must be ordinarily resident in Singapore. For most overseas founders that means either relocating on a pass or engaging a nominee.
- Ownership position confirmed as unrestricted
- Resident director options compared honestly
- Pass and relocation routes assessed where relevant
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

What applies
Foreign ownership of a Singapore company
Open on ownership, strict on directorship.
| Question | Position |
|---|---|
| Can a foreigner own 100%? | Yes. There is no foreign shareholding restriction. |
| Local partner required? | No. |
| Resident director required? | Yes. At least one, ordinarily resident in Singapore. |
| Can I be the resident director? | Only if you hold an appropriate pass or status. |
| Nominee director? | Permitted and common, with governance implications. |
| Is ownership public? | Directors and shareholders appear on the register; controllers are recorded separately. |
At least one director must be ordinarily resident in Singapore. This is a statutory requirement, not a formality, and it is the single biggest practical constraint for overseas founders. Incorporation and corporate secretarial filings in Singapore are made through a registered filing agent, and a foreign applicant must use one. We co-ordinate your engagement with a registered Singapore agent and manage the process end to end; the regulated filings are made by them.

Incorporate
Name reserved, constitution settled and the company incorporated through a registered filing agent.
Operations
Company secretary appointed, bank introduction made, and pass applications progressed where someone is relocating.

Questions
Singapore foreign ownership — FAQs
Can I own 100% of a Singapore company?
Yes. There is no restriction on foreign shareholding and no local partner requirement.
So what is the catch?
The resident director requirement. Every company needs one, and if you are not resident you must relocate someone on a pass or engage a nominee.
What is a nominee director?
A resident individual appointed to satisfy the statutory requirement. They carry real directors’ duties, which is why governance arrangements matter and why we explain them rather than treating it as a formality.
Can I become the resident director myself?
If you obtain an appropriate pass and relocate, yes. That is a separate application with its own criteria and is not guaranteed.
Does owning a company get me a visa?
No. Company ownership and immigration are separate, and incorporation confers no right to live or work in Singapore.
