Private Limited Company Setup in Singapore
The private limited company is Singapore’s default. The alternatives suit narrow cases and most founders should not use them.

Pte Ltd or something lighter
Most Singapore businesses incorporate as a private limited company. A sole proprietorship or LLP avoids some obligations but changes liability and tax treatment substantially, and neither is usually right for a foreign-owned business.
- Structure chosen on liability and tax treatment
- Constitution settled rather than defaulted
- Audit exemption position confirmed

Compare the structures
Pte Ltd and the alternatives
They differ on liability, tax and credibility.
| Structure | When it fits | Key feature |
|---|---|---|
| Private limited company (Pte Ltd) | Almost all businesses | Separate legal entity; corporate tax treatment |
| Limited liability partnership | Professional partnerships | Partners taxed individually |
| Sole proprietorship | Very small single-owner operations | No liability separation; personal tax |
| Branch of a foreign company | An overseas company operating here | Not separate; parent carries liability |
| Representative office | Market research only | No revenue-generating activity, time limited |
| Variable capital company | Investment funds | A specific regime for fund structures |
At least one director must be ordinarily resident in Singapore. This is a statutory requirement, not a formality, and it is the single biggest practical constraint for overseas founders. Incorporation and corporate secretarial filings in Singapore are made through a registered filing agent, and a foreign applicant must use one. We co-ordinate your engagement with a registered Singapore agent and manage the process end to end; the regulated filings are made by them.

Questions
Singapore private limited company — FAQs
How many directors and shareholders are needed?
At least one of each. At least one director must be ordinarily resident in Singapore; shareholders have no residency requirement.
How much paid-up capital?
A nominal amount is sufficient to incorporate. Higher capital can matter for pass applications, banking and credibility.
When must I appoint a company secretary?
Within six months of incorporation, and they must be ordinarily resident. We arrange this as part of setup rather than leaving it to lapse.
Will my company need an audit?
Not if it qualifies as a small company under the statutory criteria. We confirm your position rather than assuming either way.
Can I change the constitution later?
Yes, by resolution and filing. Share classes and shareholder rights are easier to set correctly at incorporation.
