Cross-border structures
International Business & Asset Holding in Singapore
Singapore anchors many Asian structures. Whether it should anchor yours depends on where your activity actually sits.

Substance, not just a address
Singapore’s treaty network is a genuine advantage, and precisely because it is, treaty access is scrutinised. A structure with no people, no decisions and no operations here is increasingly difficult to defend.
- Substance expectations set out before you incorporate
- Home-country advisers co-ordinated, not ignored
- Honest when Singapore is the wrong answer
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

The questions that decide the structure
Answered honestly, the shortlist is short.
| Question | Why it decides the structure |
|---|---|
| Where are the owners resident? | Their home rules often matter more than Singapore’s. |
| Where are decisions taken? | Drives substance and treaty access. |
| Where are customers and suppliers? | Selling into a country can create obligations there. |
| Will treaty benefits be relied on? | If so, substance is not optional. |
| Who will be the resident director? | A statutory requirement that also evidences substance. |
| Who else must accept it? | Banks and counterparties test structures. |
Cross-border treatment depends on rules in more than one country and changes. We co-ordinate with advisers elsewhere rather than opining on their law.
How it works
Working through it properly
Sometimes the answer is that Singapore is not the right base.
Map the facts
Residency, decision-making, where work happens, customers, and what the entity will hold or sell.
Options and consequences
Singapore options that fit, the substance each expects, maintenance cost, and where you need advice elsewhere first.
Form and document
The Singapore entity formed once agreed, records established, and the basis documented for banks and IRAS.
To assess properly
What we need to see
Thin information produces a structure that fails scrutiny.
- Tax residency of each ultimate owner
- Current group structure chart
- Where directors and decision-makers are based
- Where staff and contractors actually work
- Revenue split by customer country
- Whether treaty benefits will be claimed
- Assets the structure will hold
- Existing entities and jurisdictions
- Financing or investor agreements
- Advice already received at home
- Banking relationships to keep
- Timeline and what is driving it

Questions
Singapore international structuring — FAQs
Will a Singapore company reduce my tax at home?
That depends on your home country’s rules, which we do not advise on. We will say plainly when the answer needs an adviser where you live.
Can I rely on Singapore’s tax treaties?
Only with genuine substance. Treaty access is scrutinised and a company with no people or decisions here is difficult to defend.
What counts as substance?
Broadly people, premises and decisions proportionate to what the company claims to do. We set out what yours would involve.
Is Singapore better than Hong Kong?
They suit different things. Singapore has a broader treaty network and audit exemption for small companies; Hong Kong has no VAT and a territorial basis but audits everything. It depends on your facts.
Do you form entities outside Singapore?
No. We handle the Singapore elements and co-ordinate with your advisers elsewhere.
