Licensing is local, and plural
Business Licences & Registrations in the United States
There is no federal business licence. There are tens of thousands of cities and counties that issue their own.

The number of authorities is the problem
Forming in one state and operating in another means registering as a foreign entity in the second, and then obtaining whatever licence the city or county requires on top. A business with three locations in three states can face three state registrations, three local licences and three sets of annual filings. The complexity is not legal difficulty, it is multiplicity, and it is the thing most often underestimated.
- Every state and local registration identified for your footprint
- Foreign qualification handled where you actually operate
- Professional board requirements separated from business licences
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

What applies
Layers of US registration
Each layer is a separate authority.
| Layer | What it is |
|---|---|
| Federal | No general business licence; sector exceptions only. |
| State of formation | Formation filing and annual obligations. |
| Other states | Foreign qualification where you do business. |
| County | Local licence or tax registration in many areas. |
| City | Business licence, often with its own tax. |
| Professional board | For regulated occupations, by state. |
Licensing requirements differ by state, county and city and change, and what constitutes doing business in a state is a question of fact. Yours are identified for your actual footprint.
How it works
Mapping your obligations
Footprint first, then filings.
Map the footprint
Where you will have people, property, inventory or significant sales, since that drives where you must register.
Register at each layer
Formation state, foreign qualification where needed, and county and city licences for each location.
Maintain
Annual filings tracked per state, with registered agents in place and renewals diarised separately.
- States where you will have employees
- States where you will have offices or property
- States where you will hold inventory
- States where you expect significant sales
- Whether staff will travel to other states
- Whether the occupation is professionally licensed
- Whether you sell to consumers
- Whether you will use a fictitious or trading name
- Whether any federal sector licence applies
- Expected revenue by state
- Planned expansion in the next two years
- Existing registrations already held

Questions
US business licensing — FAQs
Is there a federal business licence?
No general one. Only specific sectors such as firearms, alcohol, aviation and broadcasting carry federal licensing.
What is foreign qualification?
Registering your company in a state other than its formation state because you are doing business there. Foreign means out-of-state, not out-of-country.
What counts as doing business in a state?
It is a question of fact, generally turning on people, property, inventory or sustained activity there. We map it rather than guessing.
Do I need a city licence as well?
In many places yes, and some cities levy their own business tax alongside it. This local layer is the one most often missed.
What happens if I do not register in a state where I operate?
Penalties, back fees and in some states an inability to enforce your contracts in local courts. It is worth getting right.
