It must survive the purpose test
International Structuring from Cyprus
A Cyprus structure now has to show a purpose beyond obtaining a tax advantage. That is a real test.

The anti-abuse rules changed the standard
Treaty and directive benefits are now subject to tests asking whether obtaining the benefit was a principal purpose of the arrangement. EU measures impose general anti-abuse rules, and certain cross-border arrangements must be reported to the authorities by advisers. A structure that works only because it reduces tax, with no commercial substance behind it, is designed to fail these tests rather than pass them.
- Structures designed to pass the purpose test, not avoid it
- Reportable arrangement obligations identified up front
- Co-ordination with advisers in the other countries involved

Settle these first
The questions that decide the structure
Commercial purpose comes first now.
| Question | Why it decides the structure |
|---|---|
| What is the commercial purpose? | The purpose test turns on it. |
| Is management genuinely here? | Residence and substance depend on it. |
| Will directive or treaty benefits be claimed? | Anti-abuse tests then apply. |
| Is the arrangement reportable? | Disclosure obligations may arise. |
| What advice exists elsewhere? | Other countries apply their own rules. |
| Can it be explained in a sentence? | If not, banks will decline it too. |
EU anti-avoidance measures, general anti-abuse rules, principal purpose tests and reportable arrangement obligations are set by law and change. We co-ordinate with advisers in other countries rather than opining on their law. Cyprus is a European Union member state, so EU directives, the single market and EU anti-avoidance measures all apply.
How it works
Working through it properly
Purpose, then substance, then documentation.
Establish the purpose
What the structure is commercially for, documented at the time rather than reconstructed when it is questioned.
Build real substance
Board, management, premises and activity proportionate to what the structure claims.
Document and disclose
The basis recorded from the outset, and any reportable arrangement obligations identified and met.
- Commercial purpose of the structure
- Group structure chart
- Where each entity is resident
- Where activity genuinely takes place
- Expected income types and flows
- Whether treaty or directive benefits are intended
- Who will direct the Cyprus entity and from where
- Planned local expenditure and employment
- Whether the arrangement may be reportable
- Existing advice in other countries
- Banking requirements
- Timeline and what is driving it

Questions
Cyprus international structuring — FAQs
What is the principal purpose test?
A test denying treaty or directive benefits where obtaining the benefit was a principal purpose of the arrangement. It means the structure needs a genuine commercial rationale.
Does that mean Cyprus no longer works?
It works for structures with real purpose and substance. It no longer works for structures whose only function was reducing tax, and we are direct about that distinction.
What are reportable arrangements?
Certain cross-border arrangements must be disclosed to the authorities, with advisers obliged to report. We identify whether your arrangement is affected.
How much substance is enough?
Proportionate to what the structure claims. A holding company making real decisions needs less than an operating company, but both need more than a registered address.
Do I need advice elsewhere?
Almost always. Cypriot advice alone does not settle how a position is treated where the income arises or the owners are resident.
