Holding Company & Investment Structures in India
A foreign-owned Indian holding company carries its foreign investment status down to everything it invests in.

Indirect foreign investment is the concept to understand
When a foreign-owned Indian company invests in another Indian company, that investment is itself treated as foreign investment in the downstream company — which means the downstream company’s sector caps, conditions and approval requirements all apply. Groups that plan to acquire through an Indian holding company need to test each target against the policy, not just the holding company itself.
- Downstream investment consequences mapped before you acquire
- Sector conditions tested at the target level, not just the holding level
- Overseas investment rules covered where the group invests outward

The concepts
Holding structures and the rules that follow
Status flows downward.
| Concept | Position |
|---|---|
| Indian holding company | A company holding shares in other Indian companies. |
| Indirect foreign investment | Downstream investment treated as foreign investment. |
| Sector conditions | Apply at the downstream company level. |
| Approval requirements | Can apply to the downstream investment. |
| Reporting | Downstream investments are reportable. |
| Overseas investment | Indian companies investing abroad follow separate rules. |
Downstream investment rules, indirect foreign investment principles and overseas investment regulations are set by the authorities and change. Yours are checked before any acquisition. Every Indian company must have at least one director resident in India, and foreign share subscription must be reported to the Reserve Bank of India within a short period after allotment.
How it works
Structuring the holding layer
Test the targets, not just the holder.
Map the intended holdings
Which Indian companies will be held or acquired, and in which sectors, because their conditions will apply.
Test each downstream investment
Sector caps, conditions and approval requirements assessed at the target level before any acquisition is agreed.
Establish and report
Holding company incorporated, acquisitions structured compliantly and downstream investments reported within their deadlines.
- Group structure and ownership chain
- Whether any owner is in a land-border country
- Which Indian companies will be held
- The sector of each target company
- Whether targets have their own foreign investment
- Intended shareholding in each
- Whether control will be acquired
- Whether the holding company will also trade
- Whether overseas investment is contemplated
- Expected funding of the holding company
- Existing Indian entities in the group
- Timeline

Questions
India holding structures — FAQs
What is indirect foreign investment?
When a foreign-owned Indian company invests in another Indian company, that downstream investment is itself treated as foreign investment, so the target’s sector rules apply.
Does that mean I must check every target?
Yes. Sector caps, conditions and approval requirements are tested at the downstream company level, not just at the holding company.
Can the holding company trade as well?
It can, though mixing holding and trading affects how the structure is viewed and how conditions apply. We advise on whether to separate them.
Are downstream investments reportable?
Yes, within prescribed periods. It is a separate reporting obligation from the original investment into the holding company.
Can an Indian company invest overseas?
Yes, under separate overseas investment regulations with their own conditions and reporting. We flag the framework where the group plans outward investment.
