STRUCTURES AND LICENCES

Business Entities and Licence Types

Two decisions sit at the front of every file: the legal form your company takes, and the licence category your activity falls under. Getting either wrong means reopening the file later, so we settle both before anything is submitted.

Limited Liability Company

The default choice for trading and most commercial work. Liability is limited to the capital contributed, one or more shareholders are permitted, and full foreign ownership applies to most activities.

Sole Establishment

Owned by one individual, with the owner personally liable for the business. Common for professional and consultancy work where a single practitioner is trading under their own name.

Branch of an Existing Company

An extension of a UAE or foreign parent rather than a separate legal entity. It carries out the parent’s activities and keeps the parent’s name, and may require a local service agent.

Commercial Licence

For buying and selling goods. The activity list attached to the licence defines exactly what you may deal in, so it is worth drawing widely enough to cover where the business is heading.

Professional Licence

For advisory and expertise-based work — management, engineering, IT, marketing, accounting. Usually requires evidence of the relevant qualifications for the activity.

Industrial Licence

For manufacturing, assembly, processing and packaging. Requires suitable premises — a workshop, warehouse or land plot — and typically additional technical approvals.

THE PROCESS

How to Register a Company in Umm Al Quwain

Activity and Structure

Trade Name Reservation

Your proposed name is checked against UAE naming rules — no religious or political references, no unexplained abbreviations — and reserved with the department.

Initial Approval

The department confirms it has no objection to you carrying out the activity. Regulated activities pick up their external ministry approvals at this stage.

Premises and Tenancy

Office, shop, workshop, warehouse or land, matched to your licence category and visa quota. The lease is registered so it can be filed with the licence application.

Submit, Pay and Collect

Documents are compiled and submitted, the department issues an invoice, and the trade licence follows once the fees are paid.

OWNERSHIP AND TAX

Ownership, Tax and What You Actually Owe

A lot of UAE business-setup material still describes a tax-free country. That stopped being accurate in June 2023, and you should plan on the current rules rather than the old marketing. Here is where a UAQ mainland company actually stands.

Ownership — and the Local Service Agent

Federal Decree-Law No. 26 of 2020 removed the blanket 51% Emirati shareholding requirement in June 2021. Most UAQ mainland activities are now available with 100% foreign ownership.

Certain professional forms and foreign branches still appoint a local service agent. An LSA is not a shareholder: they hold no equity, take no share of profit, and have no say in management. They are paid a fixed annual fee for representation with government bodies.

Corporate Tax — 9% Above AED 375,000

Federal corporate tax has applied since 1 June 2023 and applies in Umm Al Quwain exactly as in every other emirate. Taxable profit up to AED 375,000 is taxed at 0%; the excess is taxed at 9%.

Registration and annual filing are mandatory even in a year when no tax is due. A mainland company cannot claim the 0% free zone regime — that is available only to a Qualifying Free Zone Person on qualifying income.

VAT — 5%

Federal VAT is charged at 5%. Registration is mandatory once taxable turnover passes AED 375,000 in a rolling twelve months, and voluntary from AED 187,500.

Returns are filed quarterly or monthly depending on turnover. Imported goods also attract 5% GCC customs duty at the point of entry.

Personal Income Tax — 0%

There is no personal income tax in the UAE on salaries, dividends or capital gains for individuals. This one is real, and the corporate tax regime did not change it.

What you do owe annually: trade licence renewal, tenancy renewal and Ejari-equivalent registration, corporate tax filing, VAT returns where registered, and visa renewals for you and your staff.

SIDE BY SIDE

UAQ Mainland or the UAQ Free Trade Zone

This is the decision that drives everything after it: where you can sell, what premises you need, and how your tax position is calculated. There is no universally better answer — there is one that fits what you actually intend to do.

UAQ Mainland

Licensed by the Umm Al Quwain Department of Economic Development. You can trade directly anywhere in the UAE, sell to government and semi-government buyers, bid for public tenders, and open branches in other emirates without a distributor in between.

Premises: a physical office, shop, workshop or warehouse with a registered tenancy contract. This is a real requirement, not a formality.

Best for: trading, contracting, construction, retail, and services sold to UAE customers.

UAQ Free Trade Zone (UAQ FTZ)

The emirate’s only free zone, operating since 1987 and substantially expanded from 2016. Entry-level packages are among the most affordable in the UAE, and structures run from Free Zone Establishment through to branches.

Premises: starts at a flexi-desk and scales up through serviced offices, warehouses, workshops and land inside the zone.

Best for: import, export and re-export, consultancy, freelancing and e-commerce. Selling into the UAE mainland means appointing a distributor or adding a mainland licence, and 5% GCC customs duty becomes payable at that point.

One thing Umm Al Quwain does not have

You will still see UAQ described as offering “offshore entities”. It does not — there is no Umm Al Quwain offshore company. The UAE’s three offshore regimes are RAK ICC, JAFZA Offshore and Ajman Offshore. What Umm Al Quwain offers is a mainland licence and a free zone licence, both of which are real, operating companies.
