Clearances, in order
Company Closure & Restructuring in Bahrain
Cancelling a Bahraini registration requires a clearance from every authority the company ever dealt with.

The clearances are the project
Deregistration is not a single filing. The labour authority, the social insurance body, the revenue bureau, the utilities provider and the municipality each have to confirm nothing is outstanding, and work permits have to be cancelled before most of that can begin. Each clearance depends on the one before, which is why abandoned companies are so expensive to unwind later.
- The clearance sequence mapped before you start
- Work permits and employee entitlements dealt with first
- Director exposure explained before you stop renewing
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

What is involved
The deregistration sequence
Each step unlocks the next.
| Step | What it involves |
|---|---|
| Settle employees | Wages, leave and leaving indemnity paid. |
| Cancel work permits | Each expatriate permit cancelled with the labour authority. |
| Social insurance clearance | Contributions settled and the file closed. |
| VAT deregistration | Final return filed and registration cancelled. |
| Utility and municipal clearance | Accounts settled and closed. |
| CR cancellation | Liquidation where required, then removal from the register. |
Deregistration, clearance and liquidation procedures are set by the authorities and change, and insolvent situations follow a different route. Most Bahraini commercial registration work runs through Sijilat, the Ministry’s online portal, which makes the mechanics faster than in neighbouring states — but it also means an application is assessed on what you entered, so the activity description and supporting documents have to be right the first time.
How it works
Closing or restructuring
People first, register last.
Audit the position
What is outstanding across each authority, and whether closing or restructuring actually serves you better.

Questions
Bahrain company closure — FAQs
Can I just stop renewing the registration?
No. The entity stays on the register, fees and penalties accrue, and expatriate workers remain your sponsored responsibility until their permits are cancelled.
Why must work permits be cancelled first?
Because the labour and social insurance clearances cannot complete while permits are live, and permits cannot be cancelled while entitlements are unpaid.
How many clearances are there?
One from each authority the company dealt with — labour, social insurance, revenue, utilities and the municipality, plus any sector regulator. They are sequential.
Is a liquidator always needed?
It depends on the legal form and circumstances. We confirm which route applies before starting.
Would restructuring be better than closing?
Sometimes. Changing the activity, deactivating part of the registration or reducing scale can achieve what you want without unwinding the clearances. We will say when that applies.
