Directors file personally, annually
Annual Filings & Company Amendments in India
Indian directors must personally verify their details every year, or their identification number is deactivated.

A personal filing with a corporate consequence
Alongside the company’s annual accounts and return, each director must complete an annual verification of their own details. Missing it deactivates the director identification number, which means the individual cannot act as a director of any Indian company until it is reactivated with a penalty. For overseas directors who treat Indian compliance as the company’s problem, this is the obligation that catches them.
- Director verification tracked for every director, every year
- Company filings and board meeting requirements calendared
- Amendments filed within their statutory windows

Questions
India annual filings — FAQs
What is the annual director verification?
A filing each director makes personally to confirm their details. Missing it deactivates their director identification number until reactivated with a penalty.
Does it affect the company?
Yes. A director with a deactivated identification number cannot validly act, which can invalidate filings and board decisions.
How many board meetings are required?
A minimum number each year, with a maximum permitted gap between them. Holding them all in one month does not satisfy the requirement.
What happens if annual filings are late?
Additional fees accrue on a daily basis in some cases, and prolonged default can lead to director disqualification. The cost escalates quickly.
Do share changes need reporting to the Reserve Bank?
Where foreign investment is involved, yes, within prescribed periods. It is a separate filing from the company law one and is frequently missed.
