Clearance releases your cash
Company Closure & Restructuring in Kuwait
Closing a Kuwaiti company means obtaining tax clearance, which is also what releases any retained contract money.

The closure and the retention are the same process
Because contract payers withhold a portion pending tax clearance, a company winding down often has money sitting with its customers. The clearance needed to release it is the same clearance needed to deregister. That makes a properly run closure a cash recovery exercise, not just a compliance one — and it makes abandonment the most expensive option, since the retained money is simply never collected.
- Retained contract money identified and pursued through clearance
- The full clearance sequence mapped before you start
- Visa and manpower steps handled in the right order

What is involved
The closure sequence
Each clearance unlocks the next.
| Step | What it involves |
|---|---|
| Settle employees | Wages, leave and end-of-service indemnity paid. |
| Cancel permits and visas | Work permits cancelled and the manpower file closed. |
| Bring filings up to date | Audited accounts and tax returns completed. |
| Tax clearance | Obtained, releasing retained contract amounts. |
| Municipal and Chamber clearances | Licence surrendered, membership closed. |
| Dissolution | Resolution notarised and registration cancelled. |
Clearance, liquidation and deregistration procedures are set by the authorities and change, and insolvent situations follow a different route.
How it works
Closing or restructuring
Quantify what you can recover first.
Quantify the position
Outstanding filings, likely assessments, employee entitlements and — importantly — how much retained contract money clearance would release.
Clear employees and tax
Staff settled and permits cancelled, filings brought up to date and tax clearance pursued.
Dissolve
Clearances obtained across municipality and Chamber, dissolution resolution notarised and the registration cancelled.

Questions
Kuwait company closure — FAQs
Why is abandoning a Kuwaiti company especially costly?
Because retained contract money is only released on tax clearance, and clearance requires the filings you would be abandoning. The cash stays with your customers permanently.
Can I recover retentions after closing?
Clearance is what releases them, so the recovery and the closure run together. That is why we quantify the recoverable amount before starting.
Do visas have to be cancelled first?
Yes. The manpower file cannot close while permits are live, and permits cannot be cancelled while entitlements are unpaid.
What if returns were never filed?
They must be filed before clearance. We quantify the likely exposure, and where retentions are outstanding the exercise often pays for itself.
Would restructuring be better than closing?
Sometimes. Reducing scale, changing activity or transferring ownership can achieve the objective without the full clearance sequence. We will say when.
