Cross-border structures
International Business & Asset Holding in Mauritius
Mauritius remains a serious cross-border jurisdiction. It is also one where structures are tested hardest.

Substance decides whether it works
Mauritius structures are scrutinised by tax authorities in the countries investors are entering. The question is never whether the company exists; it is whether it is genuinely managed from Mauritius and has economic substance proportionate to what it claims.
- Substance requirements set out before you incorporate
- Destination-country advice co-ordinated, not skipped
- Honest when a structure will not survive scrutiny
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

The questions that decide the structure
Answered honestly, the shortlist is short.
| Question | Why it decides the structure |
|---|---|
| Where are you investing? | Whether a Mauritius treaty is relevant at all. |
| Will treaty benefits be claimed? | If so, substance is mandatory, not optional. |
| Where are decisions taken? | Management and control is the core test. |
| Who will be resident directors? | A substance requirement with real cost. |
| What advice exists at the other end? | The destination country decides whether a claim holds. |
| Who else must accept it? | Banks and investors test structures too. |
Cross-border treatment depends on rules in more than one country, is subject to international scrutiny and changes. We co-ordinate with advisers elsewhere rather than opining on their law.
How it works
Working through it properly
Sometimes the honest answer is that Mauritius will not achieve what you want.
Map the facts
Where investments will be, who decides what, where people are, and what substance you are genuinely prepared to maintain.
Options and consequences
Mauritius options that fit, the substance each requires, annual cost, and where destination-country advice is essential.
Form and document
The entity formed once agreed, substance arrangements implemented, and the basis documented from the outset.
To assess properly
What we need to see
Thin information produces a structure that fails scrutiny.
- Destination countries for investment
- Whether treaty benefits will be claimed
- Current group structure chart
- Tax residency of ultimate owners
- Who will serve as resident directors
- Where board meetings will be held
- Expected income types and flows
- Planned local expenditure and employment
- Existing advice in destination countries
- Financing and investor agreements
- Banking relationships to keep
- Timeline and what is driving it

Questions
Mauritius international structuring — FAQs
Do Mauritius structures still work?
For genuine investment with real substance, yes. For paper structures claiming treaty benefits without management and control here, increasingly not. We are direct about which you are proposing.
What is management and control?
Broadly, where the company is really directed from: resident directors, board meetings held here, decisions taken here. It is evidenced, not asserted.
Do I need advice in the destination country?
Almost always. Mauritius advice alone does not determine whether a treaty claim is accepted at the other end.
Will a bank accept the structure?
Banks here apply thorough due diligence, particularly on source of funds and counterparty jurisdictions. Simple, explainable structures fare better.
Do you form entities outside Mauritius?
No. We handle the Mauritius elements and co-ordinate with your advisers elsewhere.
