Operate under the parent
Foreign Company Branch Registration in Saudi Arabia
A Saudi branch carries the parent’s name and is limited to what the parent already does. The parent stays liable for it.

Same company, heavier file
A branch keeps the parent’s identity, which matters where the brand is why clients buy. The trade-offs are a narrower activity scope and a parent document file that is usually more demanding than a subsidiary’s.
- Activity match against the parent checked first
- Parent document chain mapped before you start
- Direct with the Saudi authorities
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

What a branch can do
The shape of a Saudi branch
Most branch problems come from expecting subsidiary behaviour.
| Question | Position for a branch |
|---|---|
| Separate company? | No. It is the parent operating in Saudi Arabia under the parent’s name. |
| What may it do? | Activities the parent is already licensed for, subject to the investment licence granted. |
| Who carries liability? | The parent company. |
| Shareholders? | None. A manager is appointed to run it. |
| Can it employ? | Yes, once registered with the labour and social insurance authorities. |
| Tax position | Generally within the corporate income tax regime as a foreign-owned presence. |
Branch requirements, permitted activities and tax treatment are set by the Saudi authorities and change. Your position is confirmed before filing.
How it works
Registering the branch
The activity match is checked first, because it decides whether a branch is possible.
Activity match
What you intend to do here compared against what the parent is licensed for. Where they do not line up, a subsidiary is usually the answer and we say so early.
Parent file and licence
Registration certificate, Articles, board resolution, manager appointment and audited accounts where required — attested, legalised and translated, then the investment licence.
Registration and setup
Commercial Registration for the branch, Chamber membership, National Address, bank introduction, ZATCA and GOSI registration.
From the parent
What the authorities will want
A branch file leans harder on the parent than a subsidiary does.
- Parent registration or incorporation certificate
- Parent Articles and Memorandum
- Board resolution approving the Saudi branch
- Resolution appointing the branch manager
- Audited financial statements of the parent
- Power of attorney for the manager
- Manager’s passport, photographs and CV
- Certificate of good standing, where available
- Attestation and legalisation in the country of origin
- Certified Arabic translation of every document
- Proposed premises or National Address
- Description of activities to be carried out

Questions
Saudi branch registration — FAQs
Can the branch do something the parent does not?
No. A branch is limited to the parent’s activities and the scope of the investment licence granted. A different activity means a subsidiary.
Is the parent liable?
Yes. That is the central difference from a subsidiary and, for some parents, reason enough to incorporate separately.
Does a branch pay tax?
A foreign-owned presence generally falls within the corporate income tax regime, and withholding tax can arise on payments abroad. We confirm the position in writing.
Does the parent need audited accounts?
Often yes for a branch, more so than for a subsidiary. We confirm the requirement before you start collecting.
Can a branch employ staff?
Yes, once registered as an employer, and subject to the same localisation requirements as other employers.
