Company Closure & Restructuring in Seychelles
Abandoning a Seychelles company does not end it. Fees accrue, it is struck off, and the record remains.

Striking off is not the same as closing
Simply stopping payment leads to default and eventual striking off, with penalties accrued and the directors’ position unresolved. A proper voluntary liquidation or deregistration deals with liabilities, settles tax where applicable, surrenders any licence and closes the company cleanly.
- The full sequence, not just stopping payment
- Licence surrender and tax clearance co-ordinated
- Director exposure explained before you walk away

What is involved
The closure sequence
Order matters.
| Step | What it involves |
|---|---|
| Resolution | Formal decision to wind up or deregister. |
| Liquidator appointment | Where a liquidation route is used. |
| Settle liabilities | Creditors, employees and statutory obligations. |
| Tax clearance | Returns and payments settled where applicable. |
| Licence surrender | Trade or Financial Services Authority licences surrendered. |
| Removal from register | Final filings and dissolution. |
Liquidation, striking off, restoration and deregistration procedures are set by statute and change. Insolvent situations follow a different route. An International Business Company must at all times have a registered agent licensed by the Financial Services Authority. That is a statutory requirement in Seychelles. We co-ordinate your engagement with a licensed Seychelles registered agent and manage the process end to end; the regulated filings are made by them.
How it works
Closing or restructuring
We check solvency and obligations before choosing the route.
Assess the position
Which route applies, what obligations remain outstanding and whether restructuring would serve you better than closing.
Settle and clear
Liabilities settled, employees dealt with properly, filings brought up to date and tax clearance obtained where applicable.
Close
Licences surrendered, final filings made through the registered agent and the company removed from the register.

Questions
Seychelles company closure — FAQs
Can I just stop paying the annual fees?
No. Penalties accrue, the company is struck off rather than closed, and the directors’ position is left unresolved.
Can a struck-off company be restored?
Restoration is possible within the period the law allows, at considerably more cost than renewal would have been.
Do licences need surrendering?
Yes. Trade licences and any Financial Services Authority licence must be surrendered as part of closing properly.
Is tax clearance required?
Where the company has tax obligations, returns must be up to date and the position settled before closure completes.
Would restructuring be better?
Sometimes — a change of vehicle, activity or ownership can achieve what you want without unwinding everything. We will say when that applies.
