E-commerce Company Setup in UAE

Selling online, licensed properly

E-commerce Company Setup in UAE

Selling through Instagram, a marketplace or your own store is trading, and it needs a licence that says so. Marketplaces and payment providers both check.

GCC business setup specialists

The platforms check before the regulator does

Plenty of people sell informally until a marketplace asks for a trade licence, or a payment gateway asks for one during onboarding. At that point revenue stops while the licence is arranged, which is the expensive way to do it.

  • Activities that marketplaces and gateways accept
  • Payment gateway readiness considered from the start
  • Jurisdiction matched to where you hold stock

Match the model

Which setup fits how you sell

The right jurisdiction depends mostly on where your stock sits and who your customers are.

How you sellTypical fitWhat to watch
Own store, no stock heldFree zone e-commerce licencePayment gateway onboarding requirements
Own store, stock in the UAEMainland, or free zone with warehousingWhere stock sits decides duty and delivery
Marketplace sellingLicence with activities the marketplace acceptsEach platform has its own seller requirements
Social sellingE-commerce licence covering online retailAdvertising and influencer rules may apply
DropshippingTrading licence covering the goodsCustoms and product approvals still apply to the goods
Digital products and servicesProfessional or e-commerce licenceVAT treatment differs from physical goods

Marketplace and payment provider requirements are set by those companies, and regulatory requirements differ by emirate and free zone. Both are checked before the licence is chosen.

How it works

From selling to licensed

We start from the platforms you intend to use, because they set practical constraints the regulator does not.

01

Model and platforms

Where you sell, where stock sits, who your customers are, and which marketplaces and gateways you intend to use — each has its own seller requirements.

02

Licence and activities

Activities chosen so marketplaces and payment providers accept them, in the jurisdiction that matches your stock and customers.

03

Gateway and operations

Licence issued, establishment card and immigration file opened, bank introduction made and the file prepared for payment gateway onboarding.

Questions

UAE e-commerce setup — FAQs

Do I need a licence to sell on Instagram?

If you are selling, yes. Informal selling works until a platform, a payment provider or a customer dispute raises the question, and by then stopping to arrange a licence costs you revenue.

Which licence do marketplaces accept?

It depends on the platform, and they publish their own seller requirements. We check those before choosing activities rather than discovering a mismatch at onboarding.

Free zone or mainland for e-commerce?

If you hold no stock and sell internationally, a free zone licence is usually efficient. If stock sits in the UAE and you deliver locally, mainland or a zone with warehousing usually fits better.

Will I get a payment gateway?

Gateways run their own onboarding and assess you independently. A licence with the right activities, a real website with proper policies and a corporate account materially improve the odds.

Does VAT apply to online sales?

It depends on what you sell, to whom and where. Digital services and physical goods can be treated differently, so it is assessed rather than assumed.
