Hold, do not trade
Holding Company & Investment Structures in UAE
A holding company owns things — shares, property, intellectual property — rather than trading. That restriction is the point, and it shapes which jurisdiction suits.

Built to own, not to operate
Founders usually arrive wanting “a holding company” and mean one of three different things: consolidating shareholdings, separating property from a trading business, or parking IP. Each points at a different jurisdiction, so we establish which before recommending one.
- Jurisdiction matched to what you are actually holding
- Trading restrictions explained before you commit
- Substance and reporting expectations set out up front
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

Where to hold
Holding structures available in the UAE
They differ on what they may hold, whether they may trade at all, and what ongoing substance is expected.
| Structure | What it typically holds | Trading | Visas |
|---|---|---|---|
| Free zone holding company | Shares in other companies, IP, investments | No operational trading | Available, subject to the package |
| Mainland holding company | Shares in UAE operating companies | Restricted to holding activities | Tied to premises |
| Offshore company | Shares, overseas property, assets | No UAE trading at all | None |
| Financial-centre entity | Investment and fund structures, regional holdings | Per the centre’s own rulebook | Available |
| Operating company with holdings | Trades and holds investments alongside | Yes — it is a trading licence | Tied to premises |
Permitted holding activities, substance expectations and reporting differ by authority and change. The structure is confirmed against your assets and intentions in writing before filing.
How it works
Setting the structure up
The asset decides the structure. Getting that order right avoids restructuring later.
What you are holding
Shares, UAE property, overseas assets or IP — and whether the company will ever need to invoice anyone. That answer rules most jurisdictions in or out immediately.
Jurisdiction and substance
We set out what each option permits, what substance and reporting it expects of you, and what it costs to maintain, then quote with government fees separated.
Incorporation and transfer
Company formed, registers established, and the shares or assets transferred in with the filings that each transfer requires.
Before you start
What we need to structure it
A holding structure is only as good as the detail behind it.
- A list of what the company will hold
- Ownership chart of existing companies
- Shareholder passports and proof of address
- Corporate documents of companies being held
- Title deeds for any property involved
- Details of IP to be transferred, with ownership evidence
- Where the ultimate owners are tax resident
- Whether any operating income is expected
- Existing shareholder agreements
- Any financing or security over the assets
- Proposed board and signatory arrangements
- Attested documents where they originate abroad

Questions
UAE holding company — FAQs
Can a holding company invoice clients?
Generally not — a holding licence is for owning, not operating. If you need to invoice, you need a trading licence, either instead of or alongside the holding entity.
Can it own UAE property?
Some structures can, in designated areas, and the rules differ by emirate and by the type of entity. It is one of the questions that most often changes the recommended jurisdiction.
Does a holding company pay corporate tax?
Corporate tax registration applies to UAE companies generally, and how a holding entity is treated depends on its income and circumstances. We assess and document the position rather than assume it.
What is “substance” and do I need it?
Broadly, evidence that the company is genuinely managed where it says it is. Expectations differ by structure and have tightened in recent years, so we set out what yours will involve before you commit.
Can I move an existing company under a new holding entity?
Usually yes, by share transfer, but each transfer has filings and sometimes cost attached. We map the sequence before anything moves.
