Cross-border structures
International Business & Asset Holding in UAE
A UAE entity can sit well in a cross-border structure. Whether it should depends on where you are resident, where the work happens and what the structure is for.

Structure follows substance, not the other way round
The structures that cause trouble are the ones designed backwards — an entity chosen first, then a story built around it. We start from where the people, decisions and customers actually are, because that is what any authority will look at.
- Substance expectations set out before you incorporate
- Home-country advice co-ordinated, not ignored
- Reporting obligations identified up front
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

What to settle first
The questions that decide the structure
Answer these honestly and the shortlist is usually short. Answer them late and the structure gets rebuilt.
| Question | Why it decides the structure |
|---|---|
| Where are the owners tax resident? | Their home rules often matter more than the UAE’s, and may tax the structure regardless of where it sits. |
| Where is the work actually done? | Where decisions are taken and work performed drives substance and permanent-establishment questions. |
| Where are the customers? | Selling into a country can create obligations there, independent of where you are incorporated. |
| What is being held or traded? | Shares, IP, property and goods each carry different treatment and different filings. |
| Who else needs to see it? | Banks, investors and counterparties all test structures. One that cannot be explained simply tends to fail onboarding. |
Cross-border treatment depends on rules in more than one country and changes over time. We co-ordinate with advisers in the other jurisdictions rather than opining on their law.
How it works
Working through it properly
This is the one service where the answer is sometimes “do not incorporate yet”.
Map the facts
Residency, where decisions are taken, where work happens, where customers are, and what the entity will hold or sell. Written down, not assumed.
Options and consequences
We set out the UAE options that fit, what substance each expects, what it costs to maintain, and where you will need advice in another country before committing.
Incorporate and document
Once the structure is agreed, the UAE entity is formed, records established and the basis documented so it can be explained to a bank or an authority later.
To assess properly
What we need to see
Thin information produces a structure that does not survive its first bank onboarding.
- Tax residency of each ultimate owner
- Current group structure chart, if one exists
- Where directors and decision-makers are based
- Where staff and contractors actually work
- Revenue split by customer country
- What assets the structure will hold
- Existing entities and their jurisdictions
- Any financing, security or investor agreements
- Existing advice from home-country advisers
- Banking relationships you intend to keep
- Reporting you are already subject to
- Your timeline and what is driving it

Questions
International structuring — FAQs
Will a UAE company reduce my tax at home?
That depends entirely on your home country’s rules, not the UAE’s, and we do not advise on them. What we will do is tell you plainly when the answer needs an adviser where you live, before you spend anything here.
What is substance, in practice?
Evidence that the company is genuinely run where it claims to be: decisions taken here, people here, premises proportionate to the activity. Expectations have tightened, and a structure without it is increasingly fragile.
Will banks accept a cross-border structure?
They will test it. Structures that are simple, explainable and supported by real activity get through onboarding; opaque ones frequently do not, regardless of whether they are lawful.
Do you set up offshore companies outside the UAE?
No. We work with UAE entities and co-ordinate with your advisers elsewhere. We would rather tell you that than take on work we cannot stand behind.
Can you review a structure someone else designed?
Yes. We look at the UAE elements, flag what we think will not hold up, and say where you need advice in another jurisdiction.
