Foreign Company Subsidiary Registration in UAE

For overseas parent companies

Foreign Company Subsidiary Registration in UAE

A subsidiary is a UAE company in its own right, owned by your parent. It can trade in activities the parent does not hold, and its liabilities stay its own.

GCC business setup specialists

A separate company, not an extension of yours

The subsidiary-or-branch question decides whether the UAE entity is legally distinct from the parent or part of it. That affects what it may trade in, who carries the liability, and how much of the parent’s paperwork the authority will want.

  • Subsidiary or branch decided on liability and activity
  • Parent attestation chain mapped for your country
  • Corporate shareholder filings handled end to end

Which structures an authority permits, and what it asks of the parent, differs by emirate and free zone. Your position is confirmed in writing before filing.

How it works

Registering the subsidiary

The parent’s document chain is what sets the timeline, so it starts first.

01

Structure decision

We compare subsidiary against branch for your activity and liability position, confirm which the authority will accept, and quote with government fees separated from ours.

02

Parent document chain

Certificate of incorporation, constitutional documents, board resolution and signatory evidence — attested and legalised in the country of origin, with certified Arabic translation where required.

03

Incorporation and licence

Trade name, initial approval, memorandum reflecting the corporate shareholder, notarisation, premises registered, then licence issue and immigration file opening.

What the parent company must produce

This is the half of the file that is slow if it is started late.

Questions

UAE subsidiary registration — FAQs

Subsidiary or branch — which should I choose?

If the UAE entity will do something the parent is not licensed for, or you want UAE liabilities ring-fenced, a subsidiary usually fits. If you are delivering the parent’s existing services and want the simplest identity, a branch may. We settle it against your activity before filing.

Can the parent own 100% of the subsidiary?

In the free zones, yes. On the mainland it depends on the activity, as it does for any company. The position for your specific activity is confirmed against the current list.

Does the parent need to be profitable or long-established?

Not generally, though some authorities ask for a certificate of good standing or parent accounts, particularly for a branch. We tell you which applies before you start collecting documents.

How long does attestation take?

It depends entirely on your country’s process and is the most common cause of delay. We map the chain at quote stage so it can begin immediately rather than after the UAE paperwork is ready.

Can the subsidiary sponsor visas?

Yes, subject to the usual quota and premises rules, in the same way as any UAE company of that type.
