Group structures
Holding Company & Investment Structures in the United Kingdom
The UK is a long-established holding jurisdiction, with an extensive treaty network and a well-understood company law.

Why groups hold through the UK
The UK’s treaty network, familiar company law and absence of exchange controls have made it a durable holding location. It is also transparent: ownership appears on the public register, which suits some groups and not others.
- Structure matched to what you actually hold
- Public disclosure consequences explained
- Group filing obligations set out up front
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

The options
Ways to hold from the UK
They differ on governance, disclosure and what obligations attach.
| Structure | What it is for | What to weigh |
|---|---|---|
| Holding company (Ltd) | Owning shares in subsidiaries | Group accounts may be required above certain thresholds |
| Operating company with investments | Trading and holding alongside | Simpler, but no separation of risk |
| Limited liability partnership | Joint ventures and funds in some cases | Members taxed on profit share |
| Company limited by guarantee | Non-profit and membership structures | No share capital |
| UK establishment of a foreign holding | Presence without a new company | Parent disclosure consequences |
| Regulated fund vehicle | Collective investment | Falls under financial services regulation |
UK group accounting thresholds, tax treatment and disclosure requirements change. Anything resembling collective investment falls under financial services regulation.
How it works
Setting the structure up
What you hold, and who must see it, decides the structure.
What and why
Shares in subsidiaries, intellectual property or investments — and whether the holding company will trade at all.
Structure and disclosure
We set out what each option involves, what becomes public, and where group accounts or audit may be triggered.
Incorporate and transfer
Company incorporated, share classes set, registers established and interests transferred with the filings each requires.
- A list of what the structure will hold
- Existing group structure chart

Questions
UK holding company — FAQs
Why hold through the UK?
An extensive treaty network, familiar company law, no exchange controls and a deep professional services market. The trade-off is transparency — ownership is on the public register.
Will I need group accounts?
Above certain size thresholds a parent must prepare group accounts, and audit may be required. We tell you where you sit relative to those thresholds before you structure.
Is ownership public?
Yes. Directors and persons with significant control appear on the public register, and the PSC analysis traces through to ultimate controllers.
Can the holding company trade as well?
It can, but mixing trading and holding in one entity removes the separation that was usually the point. We would ask why before recommending it.
Does it need substance?
Where the structure is relied on for treaty or tax purposes, substance matters and is increasingly tested. We will tell you when you need tax advice on that rather than company formation.
