Little to form, much to bank
Company Documents & Identification in the United States
You can form a US company with almost no documents. Opening its bank account is where the paperwork starts.

The burden sits after formation, not before
No legalisation, no attested translations, no notarised constitution: a US formation filing asks for very little. The documentary work arrives afterwards, when a bank applies customer identification rules and asks for beneficial ownership evidence on every owner, and again when you need certificates of good standing for other states or apostilled US documents for use overseas. Planning for the second stage is what matters.
- Formation handled with the minimal filing it actually requires
- Beneficial ownership documentation prepared for banking
- Apostilles arranged where US documents are used abroad
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

What is needed when
Documents by stage
The stages are very different.
| Stage | What is required |
|---|---|
| Formation filing | Name, registered agent, organiser; very little else. |
| Tax identification | Responsible party details. |
| Governing documents | Operating agreement or bylaws, not filed publicly. |
| Banking | Beneficial owner identification for every owner. |
| Other states | Certificate of good standing from the formation state. |
| Use abroad | Apostille or authentication of US documents. |
Formation requirements, beneficial ownership reporting obligations and identification rules are set by state and federal authorities and change, and federal beneficial ownership reporting has been subject to litigation and revision. We confirm the position at the time you file. We handle US formation and compliance set-up and co-ordinate with US tax, immigration or regulatory counsel where advice is needed. We do not give US tax, immigration or securities advice.
How it works
Getting the paperwork right
Form quickly, then prepare for banking.
Form with the minimum
The filing made with what the state actually requires, without inventing documentation nobody asks for.
Prepare the governing documents
Operating agreement or bylaws drafted properly, since the state does not supply them and banks and investors will want them.
Build the identification pack
Beneficial ownership evidence assembled for every owner, ready for banking and for any reporting obligation that applies.
- Proposed entity name and alternatives
- Registered agent arrangement
- Members, managers, directors or officers
- Ownership percentages
- Passport for each beneficial owner
- Proof of residential address for each owner
- Responsible party details for tax identification
- US business address
- Governing document terms wanted
- States where you will also register
- Whether US documents will be used abroad
- Whether an apostille will be needed

Questions
US company documents — FAQs
Do I need an apostille to form a US company?
No. US formation requires no legalisation of foreign documents at all, which is unusual and makes the filing stage very light.
So where does the paperwork come from?
Banking. Customer identification rules require evidence on every beneficial owner, and that is the stage where documentation genuinely matters.
What is a certificate of good standing for?
Registering in another state, and for banks, lenders and acquirers who want confirmation the entity is current with its formation state.
When do I need an apostille?
When using US documents abroad — for example registering your US company as a shareholder elsewhere. That is the reverse direction and we arrange it.
Is there a federal beneficial ownership filing?
Federal beneficial ownership reporting has been introduced and then subject to litigation and revision. We confirm the current requirement at the time you file rather than relying on earlier guidance.
