Usually the wrong choice
US Holding Company Structures
For a non-US group, a US holding company is seldom the right answer, and we will normally say so.

Be clear why you are considering it
A US holding company is taxed on worldwide income, has no broad exemption for dividends from foreign subsidiaries in the way several other jurisdictions do, brings state-level tax on top, and can draw foreign subsidiaries into complex anti-deferral rules. For a group whose operations are outside the United States, that combination usually argues against it. Where it does make sense — typically where US investors or a US listing are in prospect — the reasons are commercial rather than fiscal.

- The narrow cases where a US holding company does fit

Weigh it properly
A US holding company, assessed honestly
The drawbacks are structural.
| Feature | Position |
|---|---|
| Scope of tax | Worldwide income. |
| Foreign subsidiary dividends | No broad exemption comparable to several other jurisdictions. |
| State tax | Applies on top of federal. |
| Anti-deferral rules | Can tax foreign subsidiary income currently. |
| Where it does fit | US investment, a US listing, or a US-centred group. |
| Credibility | High, which is sometimes the actual reason. |
US taxation of holding structures, anti-deferral rules and dividend treatment are set by federal law and change, and state treatment varies. These are matters for a US tax adviser. We handle US formation and compliance set-up and co-ordinate with a US tax adviser where advice is needed. We do not give US federal or state tax advice.
How it works
Working through the decision
Purpose first; often the answer is elsewhere.
Establish the purpose
Whether you need a US holding company for a commercial reason — US investors, a listing, a US-centred group — or whether it is being assumed.
Test it with a US adviser
The tax consequences for your actual group modelled before anything is formed, because they are rarely favourable for non-US operations.
Form or redirect
The structure established where it genuinely fits, or an alternative recommended where it does not.

Questions
US holding companies — FAQs
Is a US holding company tax efficient?
For a group whose operations are outside the United States, usually not. Worldwide taxation, the absence of a broad participation exemption and state tax all count against it.
When does it actually make sense?
Where the reasons are commercial — raising US investment, a prospective US listing, or a group already centred on the United States.
What are anti-deferral rules?
Provisions that can tax a US parent currently on income earned by its foreign subsidiaries. They are a significant consideration and need US advice.
What would you recommend instead?
It depends on where your operations and investors are. We set out alternatives rather than forming something that will work against you.
Will you tell me not to do it?
Yes, if that is the honest answer. We would rather lose the formation fee than build a structure you will pay to unwind.
