Company Liquidation, Transfers & Restructuring in UAE

Walking away from a UAE company does not end it. The licence keeps accruing penalties, and the consequences follow the people behind it.

GCC business setup specialists

Abandonment is the expensive option

A company left to lapse keeps generating obligations. Fines accumulate against the licence, visas stay sponsored by an entity that is not operating, and the people behind it can find later applications — new companies, visas, banking — obstructed by the unfinished one.

  • Closure completed, not abandoned
  • Visas and clearances handled in the right order
  • Share transfers as an alternative where it fits

Know the options

Ways out of a company

Closing is not always the right answer; sometimes the company is worth more transferred than dissolved.

OptionWhen it fitsWhat it involves
LiquidationThe business is finished and will not be soldResolution, liquidator, clearances, cancellation of the licence
Share transferSomeone wants the company, licence or historyAmendment to the memorandum, notarised, with bank and visa changes
RestructureThe business continues in a different shapeActivity, premises or structure amended rather than closed
DormancyA pause rather than an endingNot available everywhere — obligations usually continue
Branch closureThe parent exits but continues elsewhereClosure of the branch registration and its immigration file
AbandonmentNever advisablePenalties accrue; consequences follow the individuals

Liquidation procedures, required clearances and timing differ by authority. The steps for your company are confirmed before anything is started.

How it works

Closing a company properly

The order matters: visas before clearances, clearances before cancellation.

01

Decide the route

Liquidation, transfer or restructure, assessed against whether anyone would want the entity and what liabilities sit in it. Sometimes a sale is better than a closure.

02

Resolution and visas

Shareholder resolution passed and, where required, a liquidator appointed. Employee and investor visas cancelled and the immigration file closed in sequence.

03

Clearances and cancellation

Clearances obtained from the relevant bodies, final accounts and tax position settled, the licence cancelled and the certificate issued.

To close properly

What liquidation requires

Missing clearances is what leaves a closure half-finished.

Questions

UAE liquidation and restructuring — FAQs

What happens if I just stop renewing?

Penalties accrue against the licence and continue to grow. Visas sponsored by the company remain an issue, and the individuals behind it can find later company, visa or banking applications obstructed by the unresolved entity.

How long does liquidation take?

It is a sequence of steps with waiting periods, including visa cancellations and clearances from several bodies, so it is a matter of weeks to months rather than days. The order cannot be shortcut.

Can I sell the company instead?

Often yes, by share transfer, and sometimes the licence, history or bank relationship is worth more than closure saves. We will tell you if that looks likely before starting a liquidation.

What happens to employee visas?

They must be cancelled as part of the process, with final settlements paid. This comes before clearances, which is why closures started late become complicated.

Do I still have tax obligations when closing?

Yes. The corporate tax position needs settling as part of the closure, and records retained afterwards. Closing the licence does not retrospectively remove obligations that arose while trading.
