Foreign Company Branch Registration in Bahrain

Rarely the right answer here

Foreign Company Branch Registration in Bahrain

Bahrain allows a foreign company to register a branch. Because it also allows wholly owned subsidiaries, few groups should.

GCC business setup specialists

Open ownership removes the usual reason

In jurisdictions that restrict foreign shareholding, a branch is how groups keep full control. Bahrain permits wholly foreign-owned companies across most activities, so that motive disappears — leaving a branch with parent liability and parent particulars on the public record and little compensating advantage. The exception is regulated sectors where a branch of a licensed parent is the recognised route.

  • Branch assessed honestly against a wholly owned subsidiary
  • Registration and parent filings handled where a branch is right
  • Regulated-sector exception identified where it applies

How it works

Registering the branch

We will tell you if a subsidiary is better.

01

Compare the options

What a branch and a wholly owned subsidiary each mean for liability, disclosure and credibility. Most groups change their mind at this point.

02

Attest and register

Parent documents legalised and translated, a local representative appointed and the branch registered with its activity.

03

Activate and operate

Activity activated, work permits and payroll established, VAT registration completed and the bank account opened.

From the parent

What registration requires

More parent disclosure than a subsidiary needs.

Questions

Bahrain branch registration — FAQs

Why would I choose a branch in Bahrain?

Usually only where a regulated sector requires a branch of a licensed parent, or for a short, clearly defined mandate. Otherwise a wholly owned subsidiary is better.

Is the parent liable?

Yes, and that is the central difference. A subsidiary confines the exposure to the subsidiary.

What becomes public?

Parent particulars including constitutional documents and directors are filed on registration, which is more disclosure than a subsidiary requires.

Can a branch employ staff?

Yes, with the usual employer obligations including social insurance and the monthly work permit charge per expatriate worker.

Can a branch be converted to a subsidiary later?

It generally means establishing the subsidiary and transferring the business, which is why the decision is worth making properly at the outset.
