For overseas parent companies
Foreign Company Subsidiary Registration in the United Kingdom
A UK subsidiary is a UK company owned by your parent. It is the usual route for an overseas group wanting a real UK presence.

Subsidiary or UK establishment
An overseas company can either incorporate a UK subsidiary or register a UK establishment of itself. The subsidiary is a separate company with its own liability and filing; the establishment is the parent trading here, and the parent’s own accounts may become publicly filed.
- Subsidiary or establishment decided on liability and disclosure
- Corporate shareholder and PSC chain handled properly
- Group filing implications explained up front
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

Compare the routes
Subsidiary against UK establishment
The disclosure difference is the one most groups do not anticipate.
| UK subsidiary | UK establishment (branch) | |
|---|---|---|
| Separate company? | Yes, a UK company in its own right | No, the parent registering a presence |
| Liability | Generally confined to the subsidiary | Sits with the parent |
| What gets filed publicly | The subsidiary’s own accounts | The parent’s accounts may become filable here |
| Activities | Whatever the subsidiary is set up to do | The parent’s business carried on here |
| Setting up | Standard incorporation | Registration of the overseas company’s presence |
| Typical fit | A real UK operation, ring-fenced | A lighter or temporary presence |
Filing and disclosure requirements for overseas companies change. Which route suits, and what each would make public, is confirmed before anything is registered.
How it works
Registering the subsidiary
Lighter than a GCC subsidiary; the disclosure question matters more.
Route and disclosure
Subsidiary against UK establishment, weighed on liability, filing and what each would put on the public record for the parent.
Incorporate
UK company incorporated with the parent as shareholder, directors appointed, and the PSC chain traced correctly through to the ultimate controllers.
Registrations and operations
Corporation Tax, VAT and PAYE where they apply, bank introduction, and the filing calendar set.
From the parent

- Proposed UK company name

- UK director names and details

Questions
UK subsidiary registration — FAQs
Subsidiary or UK establishment?
A subsidiary gives you a separate company and ring-fences liability, with only its own accounts on the public record. An establishment is the parent trading here, and can bring the parent’s accounts onto the UK register. That disclosure point decides it for many groups.
Does the parent need to be attested?
Generally no. This is one of the sharpest differences from a GCC subsidiary, where the attestation chain usually sets the timeline.
Who are the persons with significant control?
The analysis traces through the parent to the individuals who ultimately own or control the group. Getting that chain right is the substantive part of a corporate-shareholder incorporation.
Can the subsidiary do something the parent does not?
Yes. It is a separate company and can be set up for whatever activity you choose.
Will the UK company be taxed on group profits?
It is taxed on its own profits, but intra-group arrangements attract scrutiny. Where transactions between group companies are material, you need tax advice alongside the incorporation.
