A credible holding jurisdiction
International Business & Asset Holding in the United Kingdom
The UK charges no withholding tax on dividends it pays out. For a holding company that is a genuine structural advantage.

Why groups still choose the UK
A UK holding company pays no withholding tax on dividends to any shareholder anywhere, benefits from an extensive treaty network and an exemption for most dividends received, and carries none of the reputational friction of an offshore jurisdiction. The trade-offs are real too: UK corporation tax applies, Brexit removed access to the EU directives, and withholding still applies to interest and royalties.
- The genuine advantages set out alongside the real trade-offs
- Residence and substance addressed before incorporation
- Co-ordination with advisers in the other countries
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

Weigh both sides
The UK holding company, assessed honestly
Advantages and limitations together.
| Feature | Position |
|---|---|
| Withholding tax on dividends paid | None, to any jurisdiction. |
| Dividends received | Most are exempt from corporation tax. |
| Share disposals | An exemption may apply to substantial holdings. |
| Treaty network | Extensive and well established. |
| EU directives | No longer available after Brexit. |
| Interest and royalties paid | Withholding can apply, treaty relief permitting. |
Exemptions, reliefs, residence rules and anti-avoidance provisions are set by UK law and change at Budget, and treatment also depends on the rules of the other country involved. We co-ordinate with advisers there rather than opining on their law.
How it works
Working through it properly
Residence and substance before incorporation.
Map the facts
Where the subsidiaries are, where decisions will be taken, what income will flow and in which direction.
Test the position
Whether the exemptions you are relying on actually apply, where withholding bites, and what residence and substance the structure needs.
Incorporate and document
Company formed once agreed, board and substance arrangements implemented and the commercial basis documented from the start.

- Whether share disposals are contemplated
- Who will be the directors and where they meet

- Whether treaty relief will be claimed
- Existing advice in the other countries

Questions
UK international structuring — FAQs
Why is no dividend withholding tax significant?
Because profits can be distributed out of the UK to shareholders anywhere without a UK deduction at source. Many jurisdictions withhold, and relief then depends on a treaty.
Did Brexit damage the UK as a holding location?
It removed access to the EU directives, which mattered for flows within Europe. The treaty network, the dividend exemption and the absence of dividend withholding all remain.
Is a UK company automatically UK tax resident?
A company incorporated here is generally resident, and central management and control can also create residence. Where the board actually meets matters.
Does the share disposal exemption apply to me?
It has conditions, including the size and duration of the holding and the nature of the business. We test it rather than assuming it.
Do I need advice in the other country?
Almost always. UK advice alone does not settle how a payment or claim is treated at the other end.
