Company Closure & Restructuring in India

An Indian company with outstanding filings cannot be struck off, and prolonged default disqualifies its directors.

GCC business setup specialists

Default blocks the exit and follows the directors

A company that stops filing cannot simply be closed: strike off requires the filings to be brought up to date first, and the longer the default runs the higher the additional fees. Worse, sustained failure to file can disqualify directors from acting in any Indian company, which affects the individuals rather than just the entity. Abandonment is therefore the one approach that makes the problem personal.

  • Full catch-up cost quantified before you choose a route
  • Director disqualification exposure assessed and addressed
  • Every registration and clearance closed, not just the company

Settle employeesDues, gratuity and provident fund.

How it works

Closing or restructuring

Quantify first, then clear, then close.

01

Quantify the position

Outstanding filings, additional fees accrued, tax exposure and whether any director is at risk of disqualification.

02

Bring everything current

Accounts and returns filed, tax positions settled, employees paid and all registrations formally closed.

03

Close

Strike off applied for where eligible, or a liquidation route used, and foreign investment reporting completed on the exit.

To close properly

Questions

India company closure — FAQs

Can I abandon an Indian company?

It is the worst option. Filings must be current to close, additional fees accrue daily in some cases, and sustained default can disqualify the directors personally.

What is director disqualification?

Prolonged failure to file can bar an individual from acting as a director of any Indian company. It makes abandonment a personal problem, not just a corporate one.

Do I have to file accounts for dormant years?

Yes. Strike off requires the filings to be current, and audit applies to every year including dormant ones.

What registrations need closing?

Income tax, goods and services tax, provident fund, insurance and state labour registrations each close separately, and each generates obligations until it does.

Is exit reporting needed for foreign investment?

Yes, where foreign investment is being unwound, reporting obligations apply on the exit as they did on the entry.
