Foreign Company Branch Registration in Bahrain
Bahrain allows a foreign company to register a branch. Because it also allows wholly owned subsidiaries, few groups should.

Open ownership removes the usual reason
In jurisdictions that restrict foreign shareholding, a branch is how groups keep full control. Bahrain permits wholly foreign-owned companies across most activities, so that motive disappears — leaving a branch with parent liability and parent particulars on the public record and little compensating advantage. The exception is regulated sectors where a branch of a licensed parent is the recognised route.
- Branch assessed honestly against a wholly owned subsidiary
- Registration and parent filings handled where a branch is right
- Regulated-sector exception identified where it applies

What registration means
The shape of a Bahraini branch
Compare it against what a subsidiary gives you.
| Question | Branch | Wholly owned subsidiary |
|---|---|---|
| Separate legal entity? | No | Yes |
| Who carries liability? | The parent | The subsidiary |
| Foreign ownership | 100% of the branch | 100% for most activities |
| Parent particulars filed | Yes, including constitution | Shareholder details only |
| Local credibility | Adequate | Generally stronger |
| When it genuinely suits | Regulated sectors; short defined mandates | Almost everything else |
Branch requirements, filed particulars and sector rules are set by the authorities and change. Regulated sectors may require a branch of a licensed parent instead.

Questions
Bahrain branch registration — FAQs
Why would I choose a branch in Bahrain?
Usually only where a regulated sector requires a branch of a licensed parent, or for a short, clearly defined mandate. Otherwise a wholly owned subsidiary is better.
Is the parent liable?
Yes, and that is the central difference. A subsidiary confines the exposure to the subsidiary.
What becomes public?
Parent particulars including constitutional documents and directors are filed on registration, which is more disclosure than a subsidiary requires.
Can a branch employ staff?
Yes, with the usual employer obligations including social insurance and the monthly work permit charge per expatriate worker.
Can a branch be converted to a subsidiary later?
It generally means establishing the subsidiary and transferring the business, which is why the decision is worth making properly at the outset.
