Cyprus Branch of a Foreign Company

It forfeits the main advantage

Cyprus Branch of a Foreign Company

A Cyprus branch is not a Cyprus resident company, so it cannot use the treaty network that brings groups here.

GCC business setup specialists

The branch undoes the reason for coming

Groups choose Cyprus for the treaty network, the directive access and the absence of withholding on distributions — all of which attach to a Cyprus tax resident company. A branch of an overseas company is not that: it is the foreign company operating here, taxed on its Cyprus activity, with the parent carrying liability and its particulars on the register. For most groups the branch therefore achieves the costs without the benefits.

  • Honest comparison against a subsidiary before any work
  • Registration and parent filings handled where a branch is right
  • Tax treatment and parent exposure set out plainly

Branch registration requirements, taxation of branches and the conditions for treaty and directive access are set by law and change. Cyprus is a European Union member state, so EU directives, the single market and EU anti-avoidance measures all apply.

How it works

If a branch is still the answer

We compare honestly first.

01

Compare the two

What a branch and a subsidiary each mean for treaty access, liability and disclosure. Most groups choose the subsidiary at this point.

02

Register

The overseas company registered as a foreign company with the Registrar, with constitutional documents and particulars filed.

03

Operate

Tax registration, accounting isolating Cyprus activity, audit arrangements and the filing calendar established.

From the parent

What registration requires

More parent disclosure than a subsidiary needs.

Talk it through →

  • Cyprus address for the branch
  • Description of the activity carried on here
  • Parent financial statements
  • Board resolution approving the branch
  • Details of local employees, if any
  • Expected Cyprus turnover
  • Whether the branch is time limited

Questions

Cyprus branch registration — FAQs

Why is a branch rarely the right choice in Cyprus?

Because the treaty network and EU directive access that bring groups here attach to a Cyprus tax resident company. A branch gets neither.

Is the parent liable?

Yes, fully, and the parent’s constitutional documents and officers go on the public register.

How is a branch taxed?

On its Cyprus activity, with accounting and audit requirements. It does not benefit from the resident company exemptions.

Is a branch ever preferable?

Occasionally, for a short defined mandate or where the parent’s home jurisdiction treats branch results favourably. That needs advice there before you decide.

Can a branch be converted to a subsidiary?

It means incorporating the subsidiary and transferring the business, with its own consequences. Choosing correctly at the outset avoids that.
