Company Closure & Restructuring in Cyprus

The audit trap for dormant companies

Company Closure & Restructuring in Cyprus

You cannot close a Cyprus company without audited accounts, which is why dormant ones are expensive to exit.

GCC business setup specialists

Dormancy does not avoid the audit

Because Cyprus requires audited financial statements from every company with no small or dormant exemption, a company that stopped trading and stopped filing has accumulated unaudited years. Closing it means auditing those years first, bringing the annual returns up to date and obtaining tax clearance. The cost of exit therefore grows every year the company is left dormant, which is the opposite of what owners assume.

  • Full exit cost quantified, including the audit catch-up
  • Strike-off and liquidation routes compared on your facts
  • Tax clearance pursued so closure can actually complete

Compare the routes

Ways to close a Cyprus company

All of them need the accounts up to date.

RouteWhen it fitsNote
Strike-offDormant, no assets or liabilitiesStill needs filings brought up to date
Members’ voluntary liquidationSolvent, with assets to distributeLiquidator appointed
Creditors’ voluntary liquidationInsolventCreditor-led process
Court winding upDisputed or insolvent situationsCourt supervised
Keeping it dormantPausing rather than closingAudit and filings continue
Tax clearanceAll routesRequired before closure completes

Strike-off and liquidation procedures, audit obligations and tax clearance requirements are set by law and change, and insolvent situations follow a different route. Cyprus is a European Union member state, so EU directives, the single market and the customs union all apply.

How it works

Closing or restructuring

Quantify the catch-up before deciding.

01

Quantify the position

How many years are unaudited and unfiled, what the catch-up will cost, and what the tax position is — so you decide with a number in front of you.

02

Bring filings up to date

Outstanding years audited, annual returns and tax returns filed, and the tax position settled to obtain clearance.

03

Close

Strike-off applied for or a liquidator appointed, and the company removed from the register.

Questions

Cyprus company closure — FAQs

Can I just let a dormant Cyprus company lapse?

It is the most expensive approach. Audit and filing obligations continue regardless of dormancy, so the catch-up cost grows each year until you deal with it.

Why must dormant years be audited?

Because Cyprus has no dormant or small company audit exemption. Every year requires audited financial statements, including years with no activity.

Is strike-off cheaper than liquidation?

Usually, where there are no assets or liabilities. But it still requires the filings and tax clearance, so the audit catch-up applies either way.

Is tax clearance required?

Yes. Closure cannot complete without the tax position being settled, which is why the returns must be filed first.

Would restructuring be better?

Sometimes — changing activity, ownership or scale can achieve the objective without the exit cost. We put that option on the table before you decide.
