The return carries the accounts
Annual Filings & Company Amendments in Cyprus
The Cyprus annual return is filed with the audited financial statements attached, so one depends on the other.
GCC business setup specialists
The audit sets the filing timetable
Unlike jurisdictions where a confirmation statement is a simple snapshot, the Cyprus annual return is filed together with the company’s audited financial statements. That means the filing cannot be completed until the audit is finished, so a late audit becomes a late annual return and attracts its own consequences. Planning the audit timetable is therefore a filing compliance matter, not just an accounting one.
- Audit and annual return timetabled together, not separately
- Beneficial ownership kept current within its deadlines
- Officer and address changes filed promptly

What recurs
Annual and event-driven obligations
Some are annual, others triggered.
| Obligation | Frequency |
|---|---|
| Annual return with financial statements | Annually, after the audit |
| Corporate tax return | Annually |
| Provisional tax instalments | Twice in the year |
| Beneficial ownership details | On change, within the deadline |
| Officer and secretary changes | On change |
| Registered office change | On change |
Filing requirements, deadlines, beneficial ownership obligations and penalties are set by the authorities and change, and the historical annual company levy has been abolished.

Questions
Cyprus annual filings — FAQs
Why does the annual return depend on the audit?
Because the audited financial statements are filed with it. A late audit makes the annual return late, with its own consequences.
Are the financial statements public?
They are filed at the Registrar with the annual return, so they enter the public record.
How quickly must beneficial ownership changes be filed?
Within a short prescribed period. Late filing is a breach rather than a formality, and the deadline catches people out.
Is there still an annual levy to pay?
The levy that applied historically has been abolished. We will not include a charge that no longer exists.
Can you take over an existing company’s compliance?
Yes. We review the filing history first, identify anything overdue and bring it up to date in the right order.
