Private Limited Company Setup in Hong Kong

The private company limited by shares is the Hong Kong default. The alternatives suit narrow cases.

GCC business setup specialists

Limited company or something lighter

Most Hong Kong businesses incorporate as a private company limited by shares. A sole proprietorship or partnership avoids incorporation but offers no liability separation and still needs Business Registration.

  • Structure chosen on liability and how profits are taken
  • Share structure set deliberately
  • Ongoing obligations explained before you commit

Questions

Hong Kong limited company — FAQs

How many directors and shareholders do I need?

At least one of each, and they can be the same person. At least one director must be a natural person.

Is there a minimum share capital?

No meaningful minimum in practice. Companies are routinely incorporated with nominal capital.

Do I need a company secretary?

Yes, and they must be resident in Hong Kong or a body corporate with a registered office there. It is the one unavoidable local requirement.

What is a Significant Controllers Register?

A record of those who ultimately own or control the company, kept at the registered office and available for inspection by authorities.

Does a dormant company still file?

Yes. Annual return and Business Registration renewal still apply, and dormancy has a specific statutory meaning rather than simply not trading.
