Company Filings & Changes in Hong Kong

A Hong Kong company carries two renewal cycles and several change notifications, each with its own deadline.

GCC business setup specialists

Two cycles, easily confused

The annual return goes to the Companies Registry; Business Registration is renewed with the Inland Revenue Department. They are different filings on different cycles, and missing either carries penalties that escalate with delay.

  • Both cycles on one calendar
  • Changes filed within their time limits
  • Escalating penalties avoided rather than explained

Filing deadlines, late fee scales and notification periods are set by the Hong Kong authorities and change. Company secretarial and registered office services in Hong Kong must be provided by a licensed trust or company service provider. We co-ordinate your engagement with a licensed Hong Kong provider and manage the process end to end; the regulated filings are made by them.

Questions

Hong Kong filings and changes — FAQs

What is the annual return?

A filing with the Companies Registry confirming the company’s particulars. It is not a set of accounts and it is separate from the tax return.

Is that the same as Business Registration renewal?

No. Business Registration is renewed with the Inland Revenue Department on its own cycle. Two filings, two authorities, two deadlines.

What happens if I file the annual return late?

Late fees escalate in bands the longer it is outstanding, and persistent default can lead to prosecution. It is entirely avoidable with a calendar.

How quickly must I report a director change?

Within a notification period, and it is short. Changes are filed as they happen rather than batched.

Can you take over a company someone else formed?

Yes. We review the filing position, deal with anything overdue, and run the calendar from there.
