A form with a condition attached
Holding Company & Investment Structures in Kuwait
Kuwait recognises a holding company as a distinct form, but it must actually control the companies it holds.

The majority condition is the distinctive rule
The Kuwaiti holding company form is defined by what it does: holding shares in other companies, lending to them, owning intellectual property and real property for their use. Crucially, the Companies Law expects it to hold a controlling interest in its subsidiaries rather than passive minority stakes. A structure built on minority participations does not fit the form, and that has to be known before you choose it.

- The majority-interest condition explained before you commit
- Permitted activity limits set out in writing

The options
Ways to hold from Kuwait
What you hold determines the form.
| Structure | What it suits | Note |
|---|---|---|
| Holding company form | Controlling stakes in subsidiaries | Majority interest expected |
| WLL with holding activity | Mixed trading and holding | One entity, broader scope |
| Closed shareholding company | Larger groups and joint ventures | More formality |
| Minority participations | Passive investment | Does not fit the holding form |
| Licensed investment vehicle | Regulated investment activity | Capital markets authority applies |
| Foreign holding company | Holding the Kuwaiti entity from abroad | Decided by group tax position |
The holding company form, its conditions and permitted activities are set by the Companies Law and change, and regulated investment activity requires separate authorisation. Kuwait runs two parallel ownership routes: the default Companies Law route, where most activities expect Kuwaiti participation, and a direct investment licence permitting up to full foreign ownership for approved activities. Which applies is settled before any filing.

Questions
Kuwait holding structures — FAQs
What is the Kuwaiti holding company form?
A distinct legal form whose purpose is holding and supporting subsidiaries — holding shares, lending to them, and owning property and intellectual property for their use.
Must it control its subsidiaries?
The form expects a controlling interest rather than passive minority stakes. If your plan is minority participations, a different vehicle fits better.
Can it trade as well?
Its own activity is limited by the form. Where trading is also intended, a company with holding among its activities is usually the better answer.
Can it be wholly foreign owned?
Through the direct investment licence route, for approved activities. The default route expects Kuwaiti participation.
Does holding regulated companies change anything?
Yes. Holdings in regulated sectors can bring the capital markets or banking regulator into the picture for the holding entity itself.
