The route to full ownership
Foreign Company Subsidiary Registration in Kuwait
A licensed subsidiary is how most groups own a Kuwaiti business outright rather than sharing it with a partner.

Why groups use a subsidiary here
For an overseas group, the subsidiary is the vehicle through which the direct investment licence delivers full ownership — and the group’s own track record is what the authority assesses. A thin corporate history, or a parent that cannot evidence experience in the activity, weakens the application regardless of how the subsidiary itself is structured.
- Licence application built around the parent’s actual track record
- Attestation of parent documents sequenced first
- Ownership-linked tax consequence modelled before filing
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

Subsidiary options and the alternatives
The licence is what changes the ownership position.
| Licensed subsidiary | Partner company | Branch | |
|---|---|---|---|
| Separate legal entity? | Yes | Yes | No |
| Foreign ownership | Up to 100% | Minority for most activities | Via the licence route |
| What is assessed | The parent’s track record | The partner arrangement | The parent and its contract |
| Parent liability | No | No | Yes |
| Tax | On the foreign-owned share | On the foreign-owned share | On Kuwaiti-source profits |
| Typical fit | An ongoing business | Activities outside the regime | A defined mandate |
Licensing criteria, excluded activities and tax treatment are set by the authorities and change. Kuwait runs two parallel ownership routes: the default Companies Law route, where most activities expect Kuwaiti participation, and a direct investment licence permitting up to full foreign ownership for approved activities. Which applies is settled before any filing.

Questions
Kuwait subsidiary — FAQs
Can the parent own the subsidiary outright?
Through the direct investment licence, for approved activities, yes. Otherwise Kuwaiti participation is generally expected.
What does the authority assess about the parent?
Track record in the activity, financial standing, the expertise or technology being brought, and the contribution to the Kuwaiti economy. It is a substantive review.
Does foreign ownership create a tax charge?
Broadly yes — the charge attaches to profits attributable to foreign ownership, so the shareholding is a tax decision as well as a legal one.
Is a branch an alternative?
Only in limited circumstances and with parent liability. For an ongoing business a subsidiary is almost always better.
How long does it take?
Attestation of the parent’s documents and the licence assessment drive the timeline. We give a realistic range once we see the group.
